WHEREAS, Donna M. Cameron (''Cameron"), an attomcy with Contractor, is a labor and employment attorney with specialized experience related to collective bargaining negotiations; and WHEREAS, City has a need for the services of an individual with the particular training, ability, knowledge, and experience possessed by Cameron; WITNESSETH: The parties hereto mutually covenant and agree to and with each other as follows: SCOPE OF WORK Contractor shall make Cameron available for consultation and legal work as City determines to be necessary or e0nvenient related to collective bargaining negotiations with the union representing City firefighters. DURATION OF CONTRACT This Contract shall be in effect from December 1, 1999, until December 31, 2000, unless earlier terminated as provided below. PAYMENT City shall reimburse Contractor for its services at the rate of $150 per hour and will reimburse reasonable expenses. CHANGES This Contract and any substantive changes to the scope of work or changes to the Contract ensts will not be effective until approved in writing. INDEPENDENT CONTRACTOR STATUS Contractor and Cameron agree and certify that: A. Contractor and Cameron arc engaged as independent contractors and Contractor will be responsible for any federal or state taxes applicable to payment under this Contract; B. Cameron will not, on account of any payments made under this Contract, be eligible for any benefit from federal social security, workers' compensation, unemployment insurance, or the Public Employee's Retirement System; C. Cameron is not currently an employee oft he federal government or the State of Oregon; and - 1 - PDXIXES:I159792,1 D. Cameron is not currently a contributing member of the Public Employee's Retirement System. E. Contntctor, and Cameron shall comply with ORS 656.017, which requires them to provide workers' compensation coverage for all their subject workers. PROFESSIONAL LIABILITY INSURANCE Contractor shall maintain in effect professional liability insurance in an amount not less than $500,000 combined single limit. Contractor shall keep in force the professional liability policy for at least one year after the expiration of this Contract, or notify City in the event of a cancellation or reduction in limits of a "claims made" policy. STANDARD OF WORK Contractor will accomplish the work using a standard of performance and care that is currently accepted by other contractors engaged in similar work in the Portland metropolitan area. TERMINATION This Contract may be terminated by mutual consent of the parties, or by one party upon written notice to the other. Contractor shall be reimbursed only for work performed and expenses incurred before termination. INTEGRATION This Contract represents the entire and integrated agreement between Contractor and City, and supersedes all prior negotiations, representations, or agreements, either written or oral. This Contract may be amended only by written insllmment signed by both Contractor and City.
