BEGINNING DATE: November 1, 2000 ¶4. COMPENSATION: $17,500.00 ¶3. COMPLETION DATE: September 1, 2001 ¶1. SERVICES TO BE PROVIDED: All services as noted within the attached Exhibit '%", A proposal of Historic Preservation Services, Siskiyou-Hargadine Historic District, September 14, 2000. ADDITIONAL TERMS: Paragraph 10, "Insurance", deleted CITY AND CONSULTANT AGREE: 1. All Costs by Consultant: Consultant shall, at its own risk and expense, pedorm the persona~ services described above and, unless otherwise specified, furnish all tabor, equipment and materials required for the proper performance of such service. 2. Qualified Work: Consultant has represented, and by entering into this contract now represents, that all personnel assigned to the work required under this contract are fully qualified to perform the service to which they will be assigned in a skilled and workerlike manner and, if required to be registered, licensed or bonded by the State of Oregon, are so registered, licensed and bonded. Consultant shall also procure and maintain a current City of Ashland business license. 3. Completion Date: Consultant shall start performing the service under this contract by the date indicated above and complete the service by the completion date indicated above. 4. Compensation: City shall pay Consultant for service performed, including costs and expenses, the sum of specified above. Once work commences, invoices shall be prepared and submitted by the tenth of the month for work completed in the prior month. Payments shall be made within 30 days of the date of the invoice; Should the contract be prematurely terminated payments will be made for work completed and accepted to date of termination. 5. Ownership of Documents: All documents prepared by Consultant pursuant to this contract shall be the pmpeAy of City. 6. Statutory Requirements: ORS 279.312,279.314, 279.316 and 279.320 are made part of this contract. 7. Indemnification: Consultant agrees to defend, indemnify and save City, its officers, employees and agents harmless from any and all losses, claims, actions, costs, expenses, judgments, subrogations, or other damages resulting from injury to any person (including injury resulting in death,) ol damage (including loss or destruction) to property, of whatsoever nature arising out of or incident to the performance of this contract by Consultant (including but not limited to, Consultant's employees, agents, and others designated by Consultant to perform work or services attendant to this contract.) Consultant shall not be held responsible for any losses, expenses, claims, subrogations, actions, costs, judgments, or other damages, directly, solely, and approximately caused by the negligence of City. 8. Termination: This contract may be terminated by City by giving ten days written notice to Consultant and may be terminated by Consultant should City fail substantially to perform its obiigafions through no fault of Consultant. 9. independent Contractor Status: Consultant is an independent contractor and not an employee of the City. Consultant shall have the complete responsibility for the pen'ormance of this contract. Consultant shall provide workers' compensation coverage as required in ORS Ch 656 for all persons employed to perform work pursuant to this contract and prior to commencing any work, Consultant shall provide City with adequate proof of workers' compensation coverage. Consultant is a subject employer that will comply with ORS 656.017. 10. Insurance: Consultant shall, at its own expense, at all times during the term of this agreement, maintain in force a comprehensive general liability policy including coverage for contractual liability for obligations assumed under this Contract, blanket contractual liability, professional errors and omissions, products and completed operations and comprehensive automobile liability including owned and non-owned automobiles. The liability under each policy shall be a minimum of $500,000 per occurrence (combined single limit for bodily injury and property damage claims) or $500,000 per occurrence for bodily injury and $100,000 per occurrence for property damage. Liability coverage shal~ be provided on an "occurrence" not "claims" basis. The City of Ashland, its officers, employees and agents shall be named as additional insureds. Certificates of insurance acceptable to the City shall be filed with City's Risk Manager prior to the commencement of any services by Consultant under this agreement. These certificates shall contain prevision that coverages afforded under the policies can not be canceled and restrictive modifications cannot be made until at least 30 days prior written notice has been given to City. A certificate which states merely that the issuing company '~'ill endeavor to mail" written notice is unacceptable. 11. Assi,qnment and Subcontracts: Consultant shall not assign this contract or subcontract any portion of the work without the written consent of City. Any attempted assignment or subcontract without written consent of City shall be void. Consultant shall be fully responsible for the acts or omissions of any assigns or subcontractors and of all persons employed by them, and the approval by City of any assignment or subcontract shall not create any contractual relatio~between the assignee or subcontractor and City. I need two PO# for billing purposes: The first for $17,500.00 for Mr. Kramer's contract and the second PO# for $1,000.00 for miscellaneous materials and supplies. Please send the appropriate PO forms back to me so that I can start the project. This project represems the fourth and final installment for the research and document preparation to list the City's Historic Districts on the National Register of Historic Places. Mr. Kramer has been the sole source for professional services on the previous three contracts with no other source responding to the three previous years Request for Proposals (RFPs). STATEMENT OF THE PROPOSED PROJECT The City of Ashland, Oregon is continuing and now ready to complete its process of upgrading the city's four locally-designated historic districts via formal recognition on the National Register of Historic Places. This project, to be undertaken by George Kramer, in association with Kay Atwood, includes all research and necessary documentation as required for the nomination of the Siskiyou. Hargadine Historic District to the National Register of Historic Places. The project involves the research, writing photography and presentation of a completeddistrict nomination form as per the standards of the State Historic Preservation and the National Park Service. The final goal of the proposed project is the successful listing of this historic area on the National Register of Historic Places. 2. PRODUCTS The undersigned will provide a completed National Register Nomination, including current photographs of each contributing resource, historic photographs as available and necessary, and all other documentation, mapping, text, and other materials,ns per the standards of the State Historic Preservation Office as detailed in A Condensed Technical Guide For Oregon Property Owners" (Sept 1995) and National Register Bulletin 16A, "How to Complete the National Register Registration Form." As an element of this project a computerized database of all properties within the Siskiyou-Hargadine Historic District will be generated, including tax identification, ownership and map location information. This information, while primarily of use in the organization of the nomination document itself, will be designed to mesh as best as is possible with extant survey information, including retention of the current "Survey Number" as the primary index field. If requested, a Dbase-compatible version will be provided to the City as a part of the products of the contract. The consultant will develop and present no more than two (2) public educational or information sessions detailing the history of the Siskiyou-Hargadine Historic District, and present the findings of the project to the Ashland City Council, Planning Commission, Historic Commission and area property owners as needed. All logistics and advertising, site arrangements, and related services for the two local presentations are to be provided by the City. Should any additional ~-~ presentations be required by the City of they will be billed at standard government rate of $65.00 per hour. Respondent costs associated with the two required SACHP hearings, including all travel and related expenses, are included in the stated contract amount. STATEMENT OF WORK: To prepare a final National Register Nomination within the allotted time frame, the following work plan will guide the project and provide interim milestones towards its successful completion.. This schedule is by nature preliminary and with the exception of the final completion date is subject to adjustment in consultation with the City of Ashland Planning Department. 1. By Oct 1. 2000: Project Begins, review and assemble existing materials, maps and other materials including previous Cultural Resource surveys, assessors records and related materials. 2. Prior to Dec $ I: First local education session with City Council, Planning Commission, Historic Commission, and area property owners. 3. December 2000- March 31, 2001: Preliminary fieldwork including re- photography of all extant resources, field check with previous survey, data import and development of database format for resource identification. Preliminary boundary assessment and property evaluation of each contributing resource, draft generation of Section 7, Architectural Descriptions, research and draft generation of draft narrative context statement and district overview (Section 8) 4. March 2001: Refine and finalize boundary determinations and resource quantification, present preliminary findings to Historic Commission, Planning Commission and City Council, as required. Second public presentation. Revise as needed and submit draft documentation to SHPO. 5. April 2001: Continue to revise and finalize documentation following local and SHPO comment. 6. July 1, 2001. Completed nomination submitted for City review. 7. June 17 to July 1: Revise and prepare for submission, including support documentation, mapping, photos, color transparencies and related materials. 8. July 31, 2001: Submit completed final nomination to SHPO. 9. October 2001: Prepare and present nomination SACHP, first hearing. 10. October to January 2002: Revise as required. 11. February 2002: Attend second and final SACHP Review Hearing. 12. Spring 2002: Assuming Oregon's recommendation to approve, the National Park Service and should likely be formally listed in the National Register of Historic Places by late Spring 2002. PROJECT BUDGET: I, George Kramer, a self-employed historic preservation consultant, will undertake the above project and conduct the research, writing, and final preparation of a completed National Register District nomination for the City of Siskiyou-Hargadine Historic District as outlined in this proposal for the total sum of $17,500.00 payable on a schedule to be determined by the City and the respondent following contract award. This proposal is a flat-contract bid based on the completion of the work required, including all resea~el to SACHP meetings, sub-contracted professional services, and other aspects of all required tasks as contained herein. This proposal is based upon the assumption of the following City-provided activities and materials; 1. Project oversight and management, including all contract requiremen, ts and reporting to the State Historic Preservation Office that relate to the City s grant award. 2. Logistics, advertising and other planning for all required local presentations or educational sessions. 3. A photocopy of thepreviously completed "Siskiyou-Hargadine" portion of the Ashland Historic andCultural Resources Inventory, as well as copies of other pertinent maps, documents and City-owned materials relative to the successful completion of project as may be identified during archival review. Using data provided by the respondent, the City will prepare and reproduce all maps and related materials required for the nomination's submission. 4. Computerized owner and tax lot information, as generated by the Jackson County Assessor, in standard dBase export format. S. All black and white film, developing, archival photographs, final submission and distribution photocopies, and related costs as required for the submission of the documentation to SHPO. Three complete photo sets, with property site numbers and other required information will be developed, including two as needed for submission and a third set to be retained by the City of Ashland. Except as specified in the RFP or this proposal, or as may be subsequently altered by mutual agreement between the respondent and the City of Ashland, the respondent alone will bear and individually assume full responsibility for the timely completion of this project.
