¶1. SERVICES TO BE PROVIDED:
Design, Construction Bidding and Construction Engineering Services for Water Reservoir at the Water Treatment Plant
per recommendation made during the initial Water System Model Evaluation
ADDITIONAL TERMS:
See Attached Ashland Water Reservoir Design Scope of Services and Labor / Hour Budget Estimate
CITY AND CONSULTANT AGREE:
1. All Costs bv Consultant: Consultant shall, at its own risk and expense, perform the personal services described above and,
unless otherwise specified, furnish all labor, equipment and materials required for the proper performance of such service.
2. Qualified Work: Consultant has represented, and by entedng into this contract now represents, that all personnel assigned
to the work required under this contract are fully qualified to perform the service to which they will be assigned in a skilled and
workerlike manner and, if required to be registered, licensed or bonded by the State of Oregon, are so registered, licensed and
bonded.
3. Completion Date: Consultant shall start performing the service under this contract by the beginning date indicated above
and complete the service by the completion date indicated above.
4. Compensation: City shall pay Consultant for service performed, including costs and expenses, the sum specified above.
Once work commences, invoices shall be prepared and submitted by the tenth of the month for work completed in the prior month.
Payments shall be made within 30 days of the date of the invoice. Should the contract be prematurely terminated, payments will be
made for work completed and accepted to date of termination.
5. Ownership of Documents: All documents prepared by Consultant pursuant to this contract shall be the property of City.
6. Statutory Re(~uirements: ORS 279.312, 279.314, 279.316 and 279.320 are made part of this contract.
7. Indemnification: Consultant agrees to defend, indemnify and save City, its officers, employees and agents harmless from
any and all losses, claims, actions, costs, expenses, judgments, subrogations, or other damages resulting from injury to any person
(including injury resulting in death), or damage (including loss or destruction) to property, of whatsoever nature adsing out of or
incident to the performance of this contract by Consultant (including but not limited to, Consultant's employees, agents, and others
designated by Consultant to perform work or services attendant to this contract). Consultant shall not be held responsible for any
losses, expenses, claims, subrogations, actions, costs, judgments, or other damages, directly, solely, and approximately caused by
the negligence of City.
8. Termination: This contract may be terminated by City by giving ten days written notice to Consultant and may be
terminated by Consultant should City fail substantially to perform its obligations through no fault of Consultant.
9. independent Contractor Status: Consultant is an independent contractor and not an employee of the City. Consultant shall
have the complete responsibility for the performance of this contract. Consultant shall provide workers' compensation coverage as
required in ORS Ch 656 for all persons employed to perform work pursuant to this contract. Consultant is a subject employer that
will comply with ORS 656.017.
10. Assiqnment and Subcontracts: Consultant shall not assign this contract or subcontract any portion of the work without the
written consent of City. Any attempted assignment or subcontract without written consent of City shall be void. Consultant shall be
fully responsible for the acts or omissions of any assigns or subcontractors and of all persons employed by them, and the approval
by City of any assignment or subcontract shall not create any contractual relation bet~veen the assignee or subcontractor and City.

Ashland - Water Reservoir Design
Scope of Services
The design will be for addition ora pre-engineered glass-lined bolted steel tank on the water treatment
plant site. The tank will function as an extension of the existing clearweH, allowing storage of treated
water. Water will be pumped to the new tank and will flow by gravity into the City's water disthbution
system.
Finished water will be fed to the new tank from the existing clearwell through a new constant-speed
vertical turbine (propeller) pump. The new pump will be installed outside of the existing operations
building. The pump will be installed in a vertical can that will be hard-piped to the wet well through a
cored wall penetration. The pump will be set onto a ground-level concrete slab.
The area piping will be modified so that finished water can be taken to the distribution system fi.om
either the existing clearwell or fi.om the new tank.
The control of the new facilities win be accomplished through the existing plant system. It is anticipated
that the new tank will be equipped with a level transmitter, and that flow fi.om the tank will be
controlled through a motorized valve. It is assumed that a new vault will be constructed to house a
check valve to prevent water fi.om flowing fi.om the tank back into the clear well.
Task 1 - Design Services
Task 1.1 - Prepare Drawings and Specifications
Final design drawings and specifications shall be prepared in sufficient detail to allow competitive
bidding and successful construction of the project. The drawings will be developed in AutoCAD
Release 14.
The ENGINEER will prepare specifications for the project using EJCDC "fi.ont-end" specifications
with Supplementmy Conditions developed specifically for the project. Technical specifications shall be
in 16 division CSI format.
The drawings and specifications shall be submitted to the CITY for review at the 30 percent and 90
percent design completion stages. Five copies of each progress submittal will be provided to the CITY
for their review. Review comments from the CITY shall be addressed within the final bid documents.
The ENG1NEER shall provide, upon completion of the final design, 5 copies of the final specifications
and 5 half-sized copies of the final drawings to the CITY. The ENGINEER win produce 15 sets of final
specifications and half-sized drawings, along with 5 sets of fun sized drawings for distribution to
perspective bidders. The bid documents will also be provided to the City in electronic format - the
drawings in AutoCAD Release 14 and the specificalions in Word Perfect format.
Task 1.2 - Estimate of Construction Cost
The ENGINEER shah develop an estimate of the cost of construction that will be submitted along
with the 30%, 90%, and 100% design completion submittals.
Task 2 - Bid Period Services
It is anticipated that during the Bid Period, the ENGINEER shall:
Task 2.1 - Bid Advertisement
The bid advertisement will be developed by the ENGINEER and submitted to the CITY for
review and issuance. The ENGINEER will distribute drawings and specifications to perspective
bidders during the bid period.
Task 2.2 - Clarifications and Addenda
Provide responses to questions regarding the bid documents as these are received. Log all
questions. Issue addenda as appropriate to interpret, clarify, or expand the Bidding Documents.
Task 2.4 - Bid Review
2.4.1 - Consult with and advise CITY as to the acceptability of suppliers and other persons and
organizations proposed by the prime contractor (herein called Contractor) for those portions of
the work as to which such acceptability is required by the Bidding Documents.
2.4.2 - Assist the CITY in evaluating bids or proposals. Prepare letters of recommendation
regarding bid award of the contracts.
Task 3 - Engineering Services During Construction
During the construction phase, the ENGINEER shall:
Task 3.1 - Interpretations, Clarifications and Change Orders
Issue necessary interpretations and clarifications of the Contract Documents and prepare work
directive changes and change orders as required. All design changes shall be approved by the
CITY.
