Dear Mr. Noxom,
Thank you for your proposal and Equipment Lease Agreement. Your proposal was accepted and
enclosed you will find a signed copy of the lease agreement. As I mentioned in my fax to you
today, I will need a singed copy of the document with at least your original signature. I am only
returning the one copy to you, as that was the only copy I had signed on this end.
I can make a payment beginning in October according to the schedule and have the 24-month
lease extend to May 2002. I understand that I also need to provide you with a down payment of
$21,412. Will you invoice for that amount and the first month or do you want me to use the
lease agreement as an invoice?

Equipment Lease Agreement
This agreement is entered into this ~/~ day of ocrb~.. , ~ by and between
ASHBROOK CORPORATION, a Texas Corporation, the principle business of which is
located at 11600 E. Hardy Rd., Houston, Texas (hereinafter referred to as ASHBROOK)
and City of Ashland whose principle place of business is 90 North Mountain Ave.,
Ashland, OR 97520 (hereinafter referred to as City of Ashland or ("Lessee").
WITNESSETH
In consideration of the mutual covenants herein contained and other good and valuable
consideration, the parties above named hereby agree as follows:
t. EQUIPMENT LEASE
1.1
ASHBROOK does hereby agree to lease to the LESSEE and the LESSEE
does hereby agree to hire from ASHBROOK the following described
equipment and service:
1)
Ashbrook Corporation Klampress, 2.0 meter Belt Filter Press with
extended gravity and wedge sections and is complete with a hydraulic
system for belt tensioning and steering. Speed control for the press is via
a mechanical hand wheel at the press.

Sludge Feed Pump, progressive feed pump capable of feeding the press
at the maximum capacity. The speed control for the pump is via a
mechanical hand wheel at the pump. The sludge feed pump requires a
minimum suction pressure of 15 psi.
Control Panel, requiring 480 VAC power. Panel will provide manual
control of the belt filter press drive motor, hydraulic unit, wash water
pump, sludge feed pump, polymer system, and connections for a sludge
conveyor (by others).
Polymer System, a liquid emulsion polymer system.
Inline, non-clog, variable orifice mixer, complete with injection manifold
system and a four port vortex polymer injection ring.
Wash Water Pump, belt wash pump which requires a minimum supply of
15 psi at 80 gpm.

The lease period will be 24 months. The lease will commence beginning
with the day the equipment is ready to be shipped from Ashbrook's
Houston plant.
The down payment required is $ 21,412.00. This payment is non-
refundable and is payable upon delivery of the equipment. The monthly
payments for 24 months due under this Lease Agreement will be
$9,169.69 per month. Upon receipt of final payment, Ashbrook will
transfer title of ownership to City of Ashland.
In addition to the down payment, a security deposit in the amount of $-0-
is due and payable upon delivery of the equipment. This security deposit
shall cover all necessary repairs and/or cleaning of equipment as required
under Sections 2.1 and 2.3.
First lease payment and all subsequent lease payments will be due the
15th of each month. Invoices will be billed in advance with the exception
of September 2000 and October 2000 which will be due upon receipt of
invoice.
If lease payments are not received within ten (10) days from their due
date, LESSEE will incur a penalty for late payment of 5% per month or
fraction thereof that the payment is delayed.
If LESSEE fails to make lease payments as required above for two (2) or
more consecutive months, ASHBROOK may consider non-payment as a
breach and default of this contract by LESSEE. If upon demand for
payment, LESSEE refuses to pay the amount due, then ASHBROOK can
enter LESSEE's premises and repossess the equipment.
LESSEE shall pay to ASHBROOK upon demand, all costs an expenses,
including legal and collection fees, incurred by ASHBROOK in enforcing
the terms, conditions or provisions of this lease or in protecting
ASHBROOK's rights and interest in the lease agreement and equipment.
In the event the LESSEE decides to purchase the equipment before the
end of the lease period, the purchase price shall be the principal balance
outstanding according to the attached amortization schedule.
At all reasonable times during the Lease Term the Equipment shall be
made available to ASHBROOK by LESSEE for the purpose of inspection
and ASHBROOK or its authorized representative shall be given
reasonable access to LESSEE's jobsite during normal business hours to
conduct such inspection.

RESPONSIBILITIES OF THE LESSEE
2.1
During the term of this Agreement or any extension hereof, LESSEE shall
be responsible for and pay the cost of all necessary repairs, maintenance
and replacement of parts as required to correct any and all damage to the
Equipment occurring during the Lease Term; provided, however, that all
repairs and part replacement be performed by LESSEE using only
genuine ASHBROOK replacement parts when practical. LESSEE shall,
at its cost and expense, keep the Equipment in good repair, properly
lubricated, and properly housed when not in use.
2.2
LESSEE shall allow only qualified and duly trained operators to use
and/or operate and/or maintain and/or repair the Equipment. LESSEE
shall at all times use the Equipment in a careful and prudent manner.
2.3
LESSEE shall return the Equipment to ASHBROOK at the end of the
lease, or in the case of repossession, in the same condition as received
from ASHBROOK, less normal wear and tear. The Equipment shall be
clean and free of any waste and waste residue. If disposal or
decontamination of the Equipment is required due to the processing of a
hazardous waste, it shall be the responsibility of the LESSEE. If, upon
repossession, disposal of the Equipment is required, LESSEE shall be
responsible for the remaining outstanding balance of the Equipment. Any
inoperative or broken parts of the Equipment at return will be replaced by
ASHBROOK at the then current list price for replacement parts and labor
and payment shall be deducted from the security deposit with any
balances owed, greater than that of the security deposit, promptly due
and payable within 10 days from receipt of ASHBROOK's repair invoice.
2.4
LESSEE agrees to comply with all municipal, state and federal laws
relating to the operation of the Equipment.
TAXES
3.1
Payment of any tax, fee or other charge levied by a governmental
authority by this Agreement shall be the responsibility of LESSEE.
3.2
The fees and lease rents provided for in this Agreement are exclusive of
state sales taxes, use taxes, gross receipt taxes, or other similar taxes,
payment of which shall be an additional responsibility of LESSEE.

LESSEE is responsible for payment of all property taxes asses against
the equipment.

4. OWNERSHIP OF EQUIPMENT
4.1
Nothing contained in this Lease Agreement shall be construed as to
transfer any ownership right to LESSEE of the Equipment.
4.2
In the event of a default on the part of LESSEE in the payment of any
monies due and owing ASHBROOK, ASHBROOK shall have the right,
and LESSEE hereby does grant ASHBROOK the right, to enter onto any
land upon which the Equipment is being housed, and to remove the
Equipment without first resorting to the process of law. This grant of
authority shall be irrevocable by LESSEE until all the Equipment is
returned to ASHBROOK or purchased by LESSEE.
INSURANCE AND LIABILITY
5.1
LESSEE ASSUMES ALL RISKS, and will pay all costs and expenses of
any character, arising from the use, possession, or maintenance of the
Equipment, and agrees to indemnify and save harmless ASHBROOK
from and against all loss or damage or claims for loss or damage
(including attorney's fees for injury to, or death of persons or property,
including loss of use, caused by said Equipment, or arising out of the use,
possession or maintenance of the Equipment), and to give ASHBROOK
immediate written notice of any such loss or damage, or loss of
possession of the Equipment occasioned by any cause whatsoever.
ASHBROOK is not responsible for work days lost due to mechanical
problems encountered with the Equipment.
5.2
LESSEE shall, at its own expense, maintain insurance coverage as
follows:
Workman's compensation insurance and such other employee
insurance as shall be required by applicable state and federal laws
for each of LESSEE's employees associated with the Equipment or
the use thereof.
Comprehensive general liability insurance in an amount not less
than $1,000,000 combined single occurrence limits for bodily injury
and/or property damage.
Property damage and loss insurance for the Equipment for the
complete replacement value of the Equipment.
LESSEE shall provide ASHBROOK with proof of such insurance
prior to shipment of the Equipment and shall maintain such
insurance in effect during the term of this Agreement.

WASTE AND HAZARDS
6.1
LESSEE shall immediately inform ASHBROOK of any special hazard risks
involved in the excavation, processing and/or removal of the waste to be
processed by the equipment of which LESSEE is aware or shall become
aware which would require disposal, decontamination or other
extraordinary cleaning of the Equipment upon completion of the job.
WARRANTIES
7.1
ASHBROOK makes no warranty or representation, expressed or implied,
(including the implied warranty of merchantability and fitness) as to
appropriateness of the Equipment for any task or that the Equipment is
appropriate for any given use to which LESSEE may put the Equipment.
7.2
ASHBROOK shall warrant the belt filter press for twelve (12) months as
noted in the attached Warranty statement.
INDEMNIFICATION
8.1
LESSEE shall indemnify and hold harmless ASHBROOK, its officers,
employees, and agents against all claims, liabilities, losses, damages and
expenses, of every character and kind whatsoever, for property damage,
bodily injury, sickness and/or disease resulting in whole from either the
negligence of LESSEE or willful misconduct of LESSEE.
SECURITY INTEREST
9.1
LESSEE agrees to execute a security agreement and Form UCC-1
required by ASHBROOK to perfect ASHBROOK's security interest in the
equipment during the term of this lease.
10. FORCE MAJEURE
10.1
Neither party shall be liable under this Agreement for delays or other non-
performance (except for the payment of money for equipment defined
under this agreement or for services already rendered) caused by any
unusual occurrence beyond the party's reasonable control, including, but
not limited to war, fire, strikes, other labor troubles, unforeseeable
breakage of equipment, accidents beyond the control of either party, acts
of God, delays of common carriers, and unforeseeable actions of
governmental authority, laws, rules and/or regulations.

This Agreement shall be deemed to be a contract made under the laws of the State of
Texas, and shall for all purposes be construed and enforced in accordance with the
laws of the State of Texas. If any provision shall be held invalid or unenforceable, the
validity and enforceability of the remaining provisions shall not be impaired.
IN WITNESS WHEREOF, the parties hereto have executed this document the day and

The weight of the skid is approximately 45,000 pounds.
Clarifications:
Ashbrook proposes to provide the 2.0 meter skid mounted Klampress, serial number KP000884-
2205 that was shipped to the City of Ashland in May, 2000.
General Notes:
The lease of this equipment is subject to execution of the Ashbrook standard terms and
conditions which is attached to this document. Any down payment and/or security deposit
required must be remitted and in place prior to shipment of the equipment from Ashbrook.
The equipment is shipped ready for operation (after connection of utilities). It must be returned
in like condition, with the exception of normal wear. All costs for additional cleaning and/or
repair of damaged components noted on return of the equipment shall be deducted from the
security deposit. If said costs exceed the security deposit, a separate invoice will be prepared.

Interconnecting piping and wiring between Ashbrook equipment and other ancillary equipment
shall be by others.
All chemicals, utilities, sludge disposal, loading and unloading shall be by others and is not part
of Ashbrook's scope of supply.

All local motor disconnect devices and/or local motor lock-outs that may be required by a local
governing electrical code shall be provided and installed by others.
Taxes:
The quoted price does not include any local, state or federal taxes, permits or other fees. Any
taxes or fees that may apply must be added to the quoted price and paid by the lessor.
Note: Ashbrook is only registered to collect and remit sales tax in the following states, Texas,
Louisiana, Florida, California and North Carolina. Taxable projects located in states outside
these will need to accrue and pay these taxes directly to said state.
Proposal Acceptance:
The Ashbrook equipment is available tbr lease on a first come, first serve basis. Prices on this
proposal are offered for acceptance within thirty (30) days from date of this quotation. Prices are
subject to review thereafter. Prices are firm, based upon receipt of an executed Ashbrook rental
agreement within this time period.
Terms:
Ashbrook's Standard Terms and Conditions as outlined in its standard agreement apply in their
entirety. All applicable sales, use or other taxes are to be paid by lessor. If any taxes are to be
paid by lessor, the quotation price shall automatically be increased by the said amount.
All orders are subject to credit approval prior to execution.and acceptance of Ashbrook's rental
agreement.
General:
There is no provision included in the quoted price, unless noted, for field erection supervision,
tests, inspections or adjustment of equipment. If factory representative is required for any of
these services, please refer to "Service Terms" enclosed. The equipment offered by Ashbrook
Corporation is our standard design, materials and manufacture. In the event that these items of
equipment are subject to any alteration in design or materials or manufacture by the contractor.

price and/or delivery schedule.

STANDARD TERMS AND CONDITIONS
Standard Terms and Conditions shall apply and form part of the within quotation except as expressly other~vise
agreed by an officer of Ashbrook Corporation.
ACCEPTANCE: Unless otherwise expressly stated herein, this quotation shall expire thirty (30) days after its date.
DELIVERY: Except as otherwise specified in this quotation, delivery will be Ex-Works, Houston, Texas. Time of
Delivery is an estimate only and is based upon the receipt of all information and necessary approvals. The company
shall in no event be liable for delays caused by fires, acts of God, strikes, labor difficulties, acts of governmental or
military authorities, delays in transportation or procuring materials, or causes of any kind beyond the company's
control.
WARRANTIES: The equipment offered is warranted in accordance with the terms of Ashbrook's standard
warranty which is hereby made part of this proposal.
PRICES: All prices exclude sales, use, occupation, license, excise and other taxes in respect to manufacture, sale or
delivery, all &which shall be paid by the buyer unless a proper exemption certificate is furnished.
TERMS: If not otherwise specified in the quotation, the terms of payment shall be balance net within thirty (30)
days after shipment. [n all cases payment, other than initial payments, shall be made pro rata as principal items are
shipped. In the event delay in making shipment is caused by buyer, payment for such shipment shall be due thirty.
(30) days from date Ashbrook notifies buyer that Ashbrook is prepared to make such shipment. If buyer delays
completion of manufacture, Ashbrook may elect to require payment according to percentage of completion.
Machinery held for buyer shalI be at buyer's risk and expense.
CANCELLATION CHARGES: In the event the buyer elects to cancel the order or if any proceeding be instituted
by or against buyer under any bankruptcy or [nsolvency law, or if in Ashbrook's judgment, buyer's f'mancial
situation justifies such action, Ashbrook may, at it's election exercisable at any time prior to delivery require
payment in advance or cancel the order as to any unshipped items and require payment of it's reasonable
cancellation charges.

BACKCHARGE(S)/CHANGE ORDER(S): Ashbrook shall not accept any backcharges unless written approval
has been furnished by an authorized Ashbrook employee prior to workdtask commencement. An authorized
Ashbrook employee prior to commencement must execute all change orders.
TITLE AND LIEN RIGHTS: The equipment shall remain personal property, regardless of how affixed to any
realty or structure until the price (including any notes given therefore) of the equipment has been fully paid in cash.
The company shall, in the event of customer's default, have the right to repossess such equipment.
THIS QUOTATION MAY BE CHANGED OR BE REVOKED AND WITHDRAWN BY THE COMPANY
AT ANY TIME UPON WRITTEN NOTICE TO THE BUYER.

All above rates are in U.S. dollars. Travel time is included as working time. Parts and expenses are additional.
Terms - 2% ten (10), net 30 days.
Minimum Billing
A minimum charge of 1/2 day's time will be made. Billing will be made in 1/2 day increments for time each
day at job and/or traveling during normal working hours. Thus, five hours spent on job and/or traveling is
billed as one full day.
3. Normal Working Time
Eight hours per day with one hour for lunch, Monday - Friday, except observed holidays.

Travel
All travel expenses incurred by the Ashbrook service Representative are chargeable.
These Include:
· Plane, Train and/or Automobile rental cost from Ashbrook, Houston, Texas, to the customer's plant or
construction site and return.
· Private Automobile travel at the rate of 32.5 cents/mile.
· Expenses also include ail local travel.
· Living expenses for lodging, meals and kncidental costs.
· Telephone calls and wires, as required in connection with the details of the job.
· When our service representative goes from job to job rather than returning to his headquarters, an equitable
distribution or travel charge will be made.
A 20% charge will be added to cover administration costs on ail travel and living expenses.
5. Parts
All parts supplied will be billed at selling prices. Service work by others under our authorization will be billed
at our cost plus 20% overhead.
Limits of Liability
As our representatives are authorized to work on Ashbrook equipment, all responsibility for operation rests with
the customer. Ashbrook shall not be liable for any claims, losses, labor, expenses, or damages, direct or
consequential, resulting directly or indirectly from the service performed hereunder or for other consequential
loss or damage of any nature arising from any cause.
7. Authorization
Ashbrook will not commence any service work until an official Purchase Order for the work has been received.
