Presentation of the Joint Ashland/Jackson County Planning Commissions, beyond scope of TGM Grant
ADDITIONAL TERMS:
CITY AND CONSULTANT AGREE:
1. All Cos~s_ bv Consultant: Consultant shall at its own dsk and expense, perform the petsenat servioes deac~hed above and,
unless othanvise sp,l~ifi~l, f~mish all labor, equipment and matedals required for the preper perf~Tnance of such serviGe.
2. Qualified W~k: Consultant has represented, and by entering into this contra~ now represents, that all pemonnel assigned to the
work required under thla ~,~,~;,~ am fully qualified to perfm'm the service to v~ieh they will be assigned In a skilled and work~rllka
manner and, if required to be registered, lic, eneed or bonded by the State of Oregon, are s0 registered, lioensed and bonded,

Payments shall be made within 30 days of the date of [he invoice. Should the c=',t~ct be prematurely terminated, payments will be

losses, expenses, claims, submgalJons, actions, costs, judgments, or other damages, directly, solely, and approximately caused by
lhe negligence of City.
6. Termination: This contrail may be terminated by Cit~ by giving ten days written notice to Consultant and may be te~Tninated by
Consultant should City fall substantially to perform Ite olfligatlons through no fault of ConsuHanf_
9. ~nde~andant Contra~, Status: Consultant is an independent contractor end not an employee of the City. Consultant shall have
the complete reaponsibih'ty for the performance of this con~'a~t. Consultant shell ~ovide w~ke~s' compensation coverage as
required in ORS Ch 656 for all persons employed to pedorm work pursuant to this contract. Consultant is a subject employer that
will comply with ORS 6_~3_.017,

wntten c~nsent of City. Any attemflted assignment or sub~C~taet without ~[tffen consent of City shall he void. Consultant shall be
