INTERAGENCY COOPERATIVE FUNDING AGREEMENT
Phase II Stormwater Public Involvement & Public Education
THIS AGREEMENT is made and entered into by and between the ROGUE VALLEY
COUNCIL OF GOVERNMENTS, a voluntary intergovernmental association, hereinafter
referred to as RVCOG, and the following local jurisdictions: City of Ashland, City of Central
Point, City of Medford, City of Phoenix, City of Talent, Jackson County, Oregon hereinafter
referred to as JURISDICTION. All participants included in this agreement are hereinafter
referred to collectively as the PARTIES, WITNESSETH THAT:
WHEREAS, the PARTIES must be in compliance with NPDES Stormwater Phase II regulatory
requirements;
WHEREAS, a key requirement ofNPDES Stormwater Phase II regulatory requirements is to
conduct public involvement and public education activities to meet the practical and regulatory
demands of the program; and
WHEREAS, the PARTIES have agreed to collectively employ the RVCOG to provide the
public involvement and public education activities designed to meet NPDES Stormwater Phase
II regulatory requirements for the overall development of a Stormwater Management Plan and to
help affected communities begin to meet the Minimum Control Measures for Public Involvement
and Participation, and Public Education and Outreach.
NOW THEREFORE, for and in consideration of the terms, conditions, stipulations and
covenants herein contained, the PARTIES do mutually agree as follows:

TIME OF PERFORMANCE
This agreement shall take effect on March 10, 2003 and terminates on June 30, 2004. At
that time, pending available funding and a finding of continuing need, this agreement may
be amended, terminated or extended per Section "E" below.
PARTIES RESPONSIBILITIES
1. Each JURISDICTION will make payment to the RVCOG based on the amount listed
in the Proportionate Fee column (Table 1) by April 30, 2003 per Section I below.

Each JURISDICTION will support the RVCOG in its administration and
management of this project by designating a project coordinator and providing
advisory and technical information concerning their jurisdictional area and in
developing public involvement and public education activities.

The participation of the JURISDICTIONS in this program does not negate their
individual responsibilities under the NPDES Stormwater Phase II requirements.
Rather this project is designed to assist the JURISDICTIONS to meet some of
their individual responsibilities.

RVCOG RESPONSIBILITIES
1. RVCOG will do, perform, and carry out in a satisfactory and proper manner, as
determined by PARTIES, the services requested by PARTIES and listed in
Attachment A, which is attached hereto, and by this reference incorporated herein.
2. RVCOG will be responsible for daily administration and oversight of the project.

RVCOG will complete the work program as described in Attachment A to the
satisfaction of the PARTIES. RVCOG will be responsible only for providing
public involvement and public education as outlined in Attachment A, and not
for any particular JURISDICTION meeting NPDES requirements.

RVCOG will notify the PARTIES of any problems occurring with the project which
require departure from the work program described in Attachment A; this notification
will allow the PARTIES to cooperate in addressing how any necessary changes will
be made.

AMENDMENTS AND TERMINATION
1. This document constitutes the entire agreement between the PARTIES and no other
agreement exists between them, either stated or implied. Any amendments or
changes to the provisions of this agreement shall be reduced to writing and signed by
all PARTIES.

Any JURISDICTION may cancel this contractual agreement with RVCOG at any
time by giving thirty (30) days notice in writing and delivered in person or by
certified mail to RVCOG.

This agreement may be modified or cancelled if JURISDICTIONS fail to receive
sufficient funding to pay for the work provided in this agreement.
Any such termination of this contract shall not prejudice any rights or obligations accrued
to RVCOG prior to termination.
ACCESS TO RECORDS
The PARTIES and their duly authorized representatives shall have access to the books,
documents, papers, and records of RVCOG which are directly pertinent to the specific
contract for the purpose of making audit, examination, excerpts and transcript.
COMPLIANCE WITH APPLICABLE LAWS
RVCOG shall comply with all federal, state, and local laws and ordinances applicable to
the work under this contract.
CONDITIONS OF FINANCIAL NON-PARTICIPATION
The costs shown in Table 1 are allocated by JURISDICTION based upon the receipt of full
funding provided by all PARTIES listed. If in the event that a JURISDICTION decides not
to participate and full funding for the program is not realized, the agreement will be
amended as per Section E above. RVCOG reserves the right to terminate this contract in
whole or in part.
PAYMENTS
1. The PARTIES will make payment to RVCOG based on the amount listed in the
Proportionate Fee column in Table 1 above as indicated for each respective
JURISDICTION.

Each JURISDICTION will make payment in full for the amount shown in the
Proportionate Fee column as designated for their jurisdiction (Table 1). Total
payment should be received by RVCOG by April 15, 2003 unless other
arrangements are made prior to that date.
o
Unless amended otherwise in writing, no other obligations for payments from the
PARTIES to RVCOG are stated or implied under this agreement.
REPORTS and RECORDS
RVCOG will provide the PARTIES with a copy of all documents, studies, reports, and
materials developed under this agreement.
MERGER CLAUSE
This contract and attached exhibits constitute the entire agreement between the PARTIES.
No waiver, consent, modification or change of terms of this contract shall bind either party
unless put in writing and signed by both parties. Such waiver, consent, modification or
change, if made, shall be effective only in the specific instance and for the specific purpose
given. There are no understandings, agreements, or representations, oral or written, not
specified herein regarding this contract.
The PARTIES, by signature of their respective authorized representatives, hereby acknowledge
that they have read this contract, understand it, and agree to be bound by its terms and
conditions.
