B. On the date noted above, City issued a request for proposals (RFP) for work needed by City
for the project described above. Contractor submitted a proposal in response to the RFP on the
date noted above.
C. After reviewing Contractor's proposal and proposals submitted by other offerors, City
selected Contractor to provide the services covered by the RFP.
City and Contractor agree as follows:
1. Relationship of Contract Documents: In response to the RFP, Contractor submitted a
proposal which included a statement of scope of services and rate schedule. Except as
provided in paragraph 1.1, i//n the event of any inconsistencies in the terms of this contract, the
RFP or the Contractor's proposal, this contract shall take precedence over the RFP which shall
take precedence over the proposal.
1.1. Exceptions: None Noted.
2. Relationship between City and Contractor: Contractor accepts the relationship of trust and
confidence established between Contractor and City by this contract. Contractor covenants with
the City to perform services and duties in conformance to and consistent with the standards
generally recognized as being employed by professionals of Contractor's caliber in the locality
of the project. Contractor further covenants to cooperate with City, City's representatives,

contractors, and other interested parties in furthering the interests of City with respect to the
project.
3. Definitions: Generally words, terms and phrases used in this contract shall have the meaning
ascribed to them in the construction industry, unless the context clearly indicates otherwise. As
used in this contract:
3.1 . "City" means the City of Ashland, Oregon.
3.2 . "Contracting officer" means the person specified in Recital A above or that person's
designee.
3.3 . "Project" means the project described in Recital A.
3.4 . "Work" or "Services" shall mean all labor, materials, plans, specifications, opinions,
reports, and other services and products which Contractor is required to provide under this
contract.
4. Term: The term of this contract shall commence on the date specified in Recital A above and
end on completion of all services required by this contract unless sooner terminated as provided
in this contract.
5. Authority of Contractinq Officer: The contracting officer shall have the authority to act on
behalf of City in the administration and interpretation of this contract. The contracting officer
shall have complete authority to authorize services, transmit instructions, receive information,
interpret and define City's policies and make other decisions with respect to Contractor's
services.
6. Services: Contractor shall provide services to City that are described in the RFP and the
proposal.
6.1 . In connection with the services described in the RFP, Contractor shall:
6.1.1 . Consult appropriate representatives of City to clarify and define City's
requirements relative to the services.
6.1.2 . Review available data relative to the services.
6.1.3 . Identify data which is not available and is needed to fulfill the services,
and act as City's representative in obtaining such data.
6.1.4 . Prepare monthly progress reports to the contracting Officer on the status
of services.
6.2 . Contractor shall commence performance of services within five days after receiving
written authorization from the contracting officer for work described in the RFP. Contractor shall
perform the services as expeditiously as is consistent with professional skill and care and the
orderly progress of the project. Upon request of City, Contractor shall submit for City's approval,
a schedule for the performance of work elements described in the RFP. Each schedule shall
include allowance for periods of time required for City's review and approval of Contractor's
services. Each schedule, approved by City, shall become a part of this contract.
6.3 . Contractor shall perform the services as an independent contractor in accordance with
generally accepted standards in Contractor's profession. Contractor shall be responsible for the
professional quality, technical accuracy and the coordination of all services performed by
Contractor. Contractor shall, without additional compensation, correct or revise any error or

deficiencies in the services that are caused by Contractor's negligence. City's review, approval,
acceptance of, or payment for, any of the services shall not be construed to waive any of City's
rights under this contract or of any cause of action arising out of Contractor's services. In the
event of any breach of this contract by Contractor or negligent performance of any of the
services, City's cause of action against Contractor shall not be deemed to accrue until City
discovers such breach or negligence, or should have, with reasonable diligence, discovered
such breach or negligence. The preceding sentence shall not be construed, however, to allow
City to prosecute an action against Contractor beyond the maximum time limitation provided by
Oregon law.
7. Assiqnment of Contractor's Personnel:
7.1 . The services covered by this contract shall be rendered by, or under the supervision of
the person specified in Recital A above, who shall act as Contractor's representative in all
communications and transactions with City.
7.2 . Contractor will endeavor to honor reasonable specific requests of City with regard to
assignment of Contractor's employees to perform services if the requests are consistent with
sound business and professional practices.
8. Responsibilities of City:
8.1 . City will cooperate fully with Contractor to achieve the objectives of this contract.
8.2 . City will provide information, documents, materials and services that are within the
possession or control of City and are required by Contractor for performance of the services.
8.3 . City will arrange for access to, and make all provisions for Contractor to enter upon,
public and private property as required for Contractor to perform the services.
8.4 . City will provide all permits necessary for completion of the project.
8.5 . The contracting officer will act as liaison between City, Contractor, public agencies, and
others involved in the project.
9. Payment:
9.1 . City shall pay Contractor for services and reimburse Contractor for expenses incurred
by Contractor in performance of services in accordance with a payment schedule to be
submitted by Contractor and accepted by City. No reimbursement will be made for expenses
that are not specifically itemized in this payment schedule without prior approval by the
contracting officer.
9.2 . Contractor shall submit monthly invoices to City for Contractor's services within ten
days after the end of the month covered by the invoice.
9.3 . Total payments under this contract or any amendments shall not exceed the sum
specified in Recital A above.

10. Compliance with Law:
10.1 . This contract will be governed by and construed in accordance with laws of the State of
Oregon. Contractor shall promptly observe and comply with all present and future laws, orders,
regulations, rules and ordinances of federal, state, City and city governments with respect to the
services including, but not limited to, provisions of ORS 279.312, 279.314, 279.316 and
279.320.
10.2 . Contractor is a "subject employer" as defined in ORS 656.005 and shall comply with
ORS 656.017. Prior to commencing any work, Contractor shall certify to City that Contractor has
workers' compensation coverage required by ORS Chapter 656. If Contractor is a carrier
insured employer, Contractor shall provide City with a certificate of insurance. If Contractor is a
self-insured employer, Contractor shall provide City with a certification from the Oregon
Department of Insurance and Finance as evidence of Contractor's status.
11. Ownership of Documents: All documents prepared by Contractor pursuant to this contract
shall be the property of City. To the extent permitted by law, City shall, within the limits of the
Oregon Tort Claims Act, defend, indemnify and hold harmless Contractor, its Contractors,
agents and employees against all damages, claims, expenses and losses arising out of any
reuse of plans, specifications and other documents prepared by Contractor without prior written
authorization of Contractor.
12. Records:
12.1 . Contractor shall develop and maintain complete books of account and other records on
the services which are adequate for evaluating Contractor's performance. Contractor shall
maintain records in such a manner as to provide a clear distinction between the expenditures
and revenues related to the project and the expenditures and revenues related to Contractor's
other business.
12.2 . Contractor's books and records shall be made available for inspection by City at
reasonable times, to verify Contractor's compliance with this contract. City shall have the right to
request an audit of Contractor's books and records by a certified public accountant retained by
City.
13. Indemnification: Contractor shall defend, indemnify and save City, its officers, agents, and
employees harmless from any and all claims, actions, costs, judgments, damages or other
expenses resulting from injury to any person (including injury resulting in death,) or damage to
property (including loss or destruction), of whatsoever nature arising out of or incident to the
negligent performance of this contract by Contractor (including but not limited to, the negligent
acts or omissions of Contractor's employees, agents, and others designated by Contractor to
perform work or services attendant to this contract). Contractor shall not be held responsible for
any claims, actions, costs, judgments, damages or other expenses, directly and proximately
caused by the negligence of City.
14. Insurance:
14.1 . Contractor shall, at its own expense, at all times during the term of this contract,
maintain in force:

14.1.1 . A comprehensive general liability policy including coverage for
contractual liability for obligations assumed under this contract, blanket
contractual liability, products and completed operations and owner's and
contractor's protective insurance;
14.1.2 . A comprehensive automobile liability policy including owned and non-
owned automobiles.
14.2 . The coverage under each liability insurance policy shall be equal to or greater than the
limits for claims made under the Oregon Tort Claims Act with minimum coverage of $500,000
per occurrence (combined single limit for bodily injury and property damage claims) or $500,000
per occurrence for bodily injury and $100,000 per occurrence for property damage.
14.3 . Liability coverage shall be provided on an "occurrence" basis. "Claims made" coverage
will not be acceptable, except for the coverage required by subsection 14.2.
14.4 . Certificates of insurance acceptable to the City shall be filed with City prior to the
commencement of any work by Contractor. Each certificate shall state that coverage afforded
under the policy cannot be cancelled or reduced in coverage cannot be made until at least 30
days prior written notice has been given to City. A certificate which states merely that the
issuing company "will endeavor to mail" written notice is unacceptable.
15. Default:
15.1 . There shall be a default under this contract if either party fails to perform any act or
obligation required by this contract within ten days after the other party gives written notice
specifying the nature of the breach with reasonable particularity. If the breach specified in the
notice is of such a nature that it cannot be completely cured within the ten day period, no default
shall occur if the party receiving the notice begins performance of the act or obligation within the
ten day period and thereafter proceeds with reasonable diligence and in good faith to effect the
remedy as soon as practicable.
15.2 . Notwithstanding subsection 15.1, either party may declare a default by written notice to
the other party, without allowing an opportunity to cure, if the other party repeatedly breaches
the terms of this contract.
15.3 . If a default occurs, the party injured by the default may elect to terminate this contract
and pursue any equitable or legal rights and remedies available under Oregon law. All remedies
shall be cumulative.
15.4 . Any litigation arising out of this contract shall be conducted in Circuit Court of the State
of Oregon for Jackson County.
16. Termination without Cause:
16.1 . In addition to the right to terminate this contract under subsection 15.3, City may
terminate by giving Contractor written notice sixty days prior to the termination date.
16.2 . In addition to the right to terminate this contract under subsection 15.3, Contractor may
complete such analyses and records as may be necessary to place its files in order and, where

onsidered necessary to protect its professional reputation, to complete a report on the services
performed to date of termination.
16.3 . If City terminates the contract under subsection 16.2, Contractor shall be paid for all
fees earned and costs incurred prior to the termination date. Contractor shall not be entitled to
compensated for lost profits.
17. Notices: Any notice required to be given under this contract or any notice required to be
given by law shall be in writing and may be given by personal delivery or by registered or
certified mail, or. by any other manner prescribed by law.
17.1 . Notices to City shall be addressed to the contracting officer at the address provided for
the City in Recital A above.
17.2 . Notices to Contractor shall be addressed to the Contractor's representative at the
address provided for the Contractor in Recital A above.
18. Assignment: City and Contractor and the respective successors, administrators, assigns and
legal representatives of each are bound by this contract to the other party and to the partners,
successors, administrators, assigns and legal representatives of the other party. Contractor
shall not assign or subcontract Contractor's rights or obligations under this contract without prior
written consent of City. Except as stated in this section, nothing in this contract shall be
construed to give any rights or benefits to anyone other than City and Contractor.
19. Modification: No modification of this contract shall be valid unless in writing and signed by
the parties.

The LomakatSi Restoration Project a 501-c3 non profit has been in business since
January of 1995, involved in numerous projects ranging from fuels reduction, oak
savannah restoration, riparian revegatation, native grass/plant reseeding, tree planting,
community education, workforce training, ecological prescription and project
development. Lomakatsi has developed a competent workforce ranging up to twenty
employees, and also has worked with hundreds of volunteers from the local community.
Lomakatsi's key officers consist ofOshana Catranides, Executive Director and
program grant development specialist; Marko Bey Director of operations and job/project
coordinator; Justin Cullumbine, Secretary/Treasurer, field/crew coordinator; Helen Yost
project fundraiser, newsletter/outreach coordinator.
Lomakatsi's workforce (See attached crew bio's) w~ho will be responsible to
render fuels reduction services described by the RFP, are professional and highly
experienced in all aspects of fuel reduction and restoration. Our workforce lives locally
within the region, and each member has an understanding and knowledge of the area's
unique local bio-diversity, plant associations, regional botany, as well as years of
classroom and field workshops with the region's leading experts and practitioners.
Lomakatsi's workforce has worked with and learned along side off Frank Eake,
fisheries and restoration biologist, P.H.D candidate O.S.U; George Badura retired
U.S.F.S soil scientist; Wayne Rolley U.S.F.S native grass specialist and botanist; Dennis
Martinez, restoration ecologist and forester of Indigenous Peoples Restoratk}n Project;
Evan Frost, regional ecologist; John Alexander, Klamath Bird Observatory, Greg
Chandler, Bureau of Land Management; Andy Hamilton, US Fish and Wildlife Service;
Chuck Miller, Chief Forester, Oregon Department of Forestry; and countless others.
In collaboration with some of the practitioners above, Lomakatsi has also
successfully hosted seven workforce training programs for ecological fuel reduction and
restoration in southwestern Oregon. Through these programs, we have trained over a
fifty-person workforce. As evidenced by these training programs, as well as our long-
standing work in the community, we are highly capable of and available to perform any
services described in the cities fuels reduction contract.
Lomakatsi's core crew has lived and worked in the Rouge Valley and vicinity
from ten to twenty years, and has hands on experience with the topography, geology,
soils, hydrology and plants of the bioregion. This intrinsic knowledge and familiarity
with our region's natural resources makes Lomakatsi one of the most qualified crews for
the job.
Some of Lomakatsi's recent and upcoming projects include:
· Fuels reduction workforce training program to be conducted at Pacifica in Williams,
Oregon. This project will be ftmded by a grant from the Oregon Watershed
Enhancement Board - Small Grant Program. During this project, Lomakatsi will train
interns who will be drawn from Oregon Employment Department job training
programs.
· Lomakatsi will also conduct staff training of U.S.F.S Employees in Happy Camp
California in ecological based fuels reduction principles and practices..
· Last year, Lomakatsi implemented a $ 222,000 National Fire Plan Grant which
included fuels reduction in five local communities. This project also included five
acres of thinning in Siskiyou Mountain Park in Ashland.
· Lomakatsi has worked on over 300 private fuels reduction and restoration projects.
{Attached is a partial list of recent projects}.
Lomakatsi presently is engaged in ongoing fuels reduction projects. If awarded this
contract, we will start work immediately, with this as our number one priority project.
There is no reason why we couldn't quickly and efficiently complete this prOject, nor
has there ever been a claim against us or an unsatisfied landowner in the history of our
organization.
Lomakatsi Restoration Project accepts all contract provisions proposed by the city of
Ashland, although we do suggest pile burning on properties were landowners are
receptive and were applicable. Pile burning on certain sites can reduce overall costs.
LOMAKATSI RESTORATION PROJECT
Core Workforce Members
Below is a list of Lomakatsi's core crew of experienced on the ground workers. Lomakatsi guarantees a
minimum of five of these core crew members to be present to carry out fuels reduction activities for the
City of Ashland Wildfire Fuels Reduction Program. Not listed below are our hand-piling and swamper
crew members. All hand-pile and swamper crew members are experienced and put through a six week,
on the job, and in the classroom training before they are accepted as permanent crew members.
Marko Bey is co-founder ofLomakatsi (LRP) and has been working in reforestation, tree climbing
and cone collection, watershed and forest restoration, and fuels management for the past 16 years.
Marko is the Director of Operations and Contract Administrator for LRP, and is also an on the
ground worker. Marko began working in forestry in 1987 in the Umpqua Valley, where he planted
trees on a federal contract for the Forest Service. Marko worked as a crew foreman and inspector
for six years running large thinning and tree planting crews for local contractors on mobile forestry
contracts, working in over five states. The majority of Marko's work over the past nine years has
been based in Southern Oregon, doing restoration forestry, forest tech work, fuels reduction, riparian
and watershed rehabilitation, tree planting and revegetation. Marko has directed Lomakatsi work
crews on private forestlands throughout southwestern Oregon. He has been involved with organizing
contiguous landowners for forest and watershed restoration projects, and also collaborated with LRP
Administrative staff'to design workforce-training programs. Doing inventories and writing
prescriptions for treatments has also been much of his work, as he has helped to oversee crews to get
the on the ground job accomplished. Marko is also a lead sawyer, and owns land on the Indian
Plateau 12 miles east of Ashland.
Justin Cullumbine is co- founder of Lomakatsi and works as the Crew & Field coordinator for
LRP. Justin has lived in Ashland since 1984, and is a graduate of Ashland High School. Justin has
made his living working in forestry for the past twelve years, and manages a forty acre woodlot
where he lives in the Greensprings. The majority of Justin's work has been in restoration forestry,
reforestation and fuels management contracts. Justin has also worked as a reforestation inspector for
local contract crews. Justin is professional tree climber and has worked for arbor contractors
throughout the local area. Justin is involved in technical forestry work for LRP and oversees
mapping, botanical inventories, and helping with forest management plans. He is also LRP's small
diameter utilization coordinator, and special forest products liaison.
Pete Hawley is Lomakatsi's Burn Boss and Fire Safety Coordinator. Pete has worked in forestry
and wildland fire fighting since 1972. During fire season Pete is a Squad BoSs for Pacific Oasis
Wildfire Crew based in Ashland. Pete has also served as a crew boss for ten years for Greyback
Forestry. Pete spent eight seasons as a smoke jumper stationed at the jumper base in the Illinois
Valley. He has worked with LRP for 2 years and has been a huge asset to our hand pile burning
operations and safety. Pete has also worked as a tree faller, tree planter, forest tech, and tree climber.
Ernest Sittig is Lomakatsi's (LRP) Chief crew foreman and inspector. He has lived in Ruch Oregon since
1975 and has worked in forestry, wildland fire fighting, silviculture, and reforestation for 22 years. The
majority of Ernie's work has been with the mobile workforce, working as a lead sawyer, tree planter, and
inspector on federal contracts in 6 different states. Ernie has worked with LRP since 1996, and has been a
huge asset for quality, production, and crew morale.
Wildfire Fuel Hazard Reduction Proiect Histor~
(The Previous 2 Years)
Lomakatsi has worked on fuels reduction contracts with the B.L.M., O.D.F., Oregon Watershed
Enhancement Board, and the City of Ashland. Not listed below are the many private individuals and
homeowners associations with forested acreage that Lomakatsi has worked in fuels reduction activities,
totaling approximately 200 acres. Lomakatsi has also performed many other forest & watershed
restoration activities other than fuels reduction over the last 9 years.
National Fire Plan Pro,iects
2001 -2003 Lomakatsi worked with the B.L.M. and Cottonwood Creek Watershed Association,
Colestin Rural Fire District (Chief Steve Avgaris) and Colestin Valley residents, to design fuels
reduction activities and two National Fire Plan proposals that were funded in the area.
2001-2002 Central Railroad Fuel Reduction Project / Colestin Valley - Lomakatsi treated 50
acres on 31 contiguous properties along 4 miles of Central Oregon Pacific Raikoad easements
bordering private lands of extreme dense vegetation. This project was completed in January of
2002.
2002-2003 Colestin Roadside Fuels Reduction Project - Lomakatsi treated 25 acres of dense
fuels along two miles of rural Colestin road in a higher concentration area of residences. Project
was completed in May 2003.
2001-2003 Ecological Fuels Reduction Workforce Training Program-Lomakatsi performed
two seasons ofworkforce training programs in ecologically based fuel hazard reduction, funded
through the National Fire Plan. During these trainings Lomakatsi treated a total 75 acres in rural
and wildland interface communities in Ashland, Applegate Valley, Williams, and Cave
Junction. In planning the training program, LRP worked with ODF, BLM, rural fire districts and
watershed councils to treat fuels in severe wildfire hazard zones.
Oregon Watershed Enhancement Board (O.W.E.B.) Projects
February 2003 -Lomakatsi crews accomplish fuels reduction work on 10 acres on private land
in Trail, Oregon. LRP worked with the Upper Rouge Watershed Council and private
landowners to organize, write and submit the fuels reduction prescription for this project. The
O.W.E.B. Small Grant Program funded the project.
May 2003 - Lomakatsi crews accomplished fuels reduction work on 7 acres in the Williams
Valley along extreme vegetation along the Williams Creek Flood Plain. The fuels reduction
project was within the Critical Coho Habitat Recovery Area, where ecological considerations
during treatments were a high priority. Lomakatsi provided a Technical Thinning Crew to
accomplish this project. Lomakatsi worked with Williams Rural Fire District and the Williams
Creek Watershed Council. The O.W.E.B. Small Grant Program funded the project.
Oregon Department of Forestry Cost Share Programs
· Lomakatsi has worked on private land with O.D.F. cost share programs to accomplish fuels
reduction activities. Lomakatsi has worked with ODF on over 15 fuels reduction projects
during the last two years throughout Jackson & Josephine counties as a part of this pr°gram~
· Lomakatsi has been working on O.D.F. private woodlot cost share programs for the past 5
years.
Ashland Fire & Rescue Fuels Reduction Program
2002-2003 -Lomakatsi worked on private properties in the Wildland Urban Interface
through the Ashland Fire & Rescue Fuels Reduction Program. Lomakatsi has treated
approximately 20 acres as a part of this program.
The names and addresses of any and all clients of the offerer who have made claims against the
offeror within the last five years alleging that the offeror breached a cc)nfl'act for services or
construction or was negligent in performance of services or construction. Describe the nature and
current status of the claims. Claims should be fully disclosed regardless of whether they involved
litigatio .n, arbitration or other formal dispute resolution process. The disclosures' required under this
provision also apply to any business with which the principals or officers of the offeror were a~ociated

Dear Marko,
Thank you for responding to our request for proposals for the Wildfire Fuel Reduction Work
Project. We received two responses to the request for proposal announcement, which were
from Summit Forestry, Inc. and Lomakatsi Restoration Project. While services offered from
both contractors met experience and documentation requirements, proposed rate charges
varied in the responses. The following table reflects bid responses relating to proposed

review of documentation submitted, it was determined that Lomakatsi Restoration Project was
the preferred provider of services required for the Wildfire Fuel Reduction Work Project.
