The CITY OF ASHLAND, a Municipal Corporation of the State
of Oregon, grantor, conveys and warrants to B & G PROPERTIES, INC.,
an Oregon Corporation, grantee, the real property described in
Exhibit "A" attached hereto and made a part hereof, subject to the
following exceptions:
1. A right of way for irrigation ditches, including the
terms and provisions thereof, reserved in instrument recorded in
Volume 165, Page 57, Jackson County, Oregon, Deed Records.
2. Easement for transmission and distribution of electricity,
granted the California Oregon Power Company, as set forth in Volume
217, Page 617, Jackson County, Oregon, Deed Records.
The true consideration for this conveyance is the exchange
of properties between grantor and grantee, which properties are of
equal value.
This instrument does not guarantee that any particular use
may be made of the property described in this instrument. A buyer
should check with the appropriate City or County Planning Department
to verify approved use.

the seal affixed to said instrument is the seal of the City and
that said instrument was signed and sealed by authority of the
City Council, and said Gordon Medaris and Nan E. Franklin each
acknowledged to me that said Deed was a free and voluntary act
and deed of said City.

Commencing at the brass cap monument marking the corner common to Sections
11, 12, 13 and 14 in Township 39 South, Range 1 East, Willamette Meridian, Jackson
County, Oregon; thence South O0° 02' 01" West 449.74 feet along the West boundary
of said Section 13 to a 5/8 inch iron pin for the TRUE POINT OF BEGINNING; thence
leaving said West boundary South 58°.29' 49" East 300.00 feet to a 5/8 inch iron
pin; thence Nor~ 43° 17' 33" East 130.00 feet to a 5/8 inch iron pin; thence
South 38° 42' 51" East 445.00 feet to a 5/8 inch iron pin; thence North 51° 17'
