The effective date of the agreement is June 15, 1985. I am looking forward to working with you and your organization on the many important matters affecting the Non-Generating Utilities. Sincerely, ~R~ Foleen RF:sl 028 Enclosure March 26, 1985 Ray Foleen 860 Pittock Block 921 SW Washington St. Port]and, OR 97205 Dear Ray: Consulting Services Agreement Your experience as a Power Management Consultant is such that you are able to provide services which may be valuable and necessary to , '.;,~., .5, ,,~,~ ~f. ~ ,/~/,~ You have indicated your availability to perform consulting sergices for us in connection with Pacific Northwest regional power matters. The consulting services are generally described in Attacbment "A". When accepted, this will constitute a Consulting Services :' greement. It is agreed ~t,at you are performing the consulting services contemplated by this agreement as an ~ndependent contractor. It is further agreed that under no circumstances shall yoo !e performing these c~.:~sulting services as an em, p loyee of the un;'¢rsigned utility. The consultin, iervices described in .~ttachment "A" will be subject to your availability and will ~;,:,t be required on a continuous basis. However, it is mutually anticipated that your services will be available on a basis of 125 work days per year. Your consulting assignments will be by authorization of a steering committee which will be formed by your cons~:]Ling services clients. Payment for y.~ur services will be made pursuant to invoices submitted by you will be paid accor~l'.~g to the following schedule: O-150O 1,501-3.~'00 3,001-10,~00 Over lO~' ~0 electric customers -- $100/Mo. electric customers -- $200/Mo. elecr:-ic customers -- $300/Mo. electric customers -- $400/Mo. Said payment is intended to cover year out-of-p,~cket expen:;es while in the Portland-Vancouver area. Payment for travel a~:d expenses for consulting assignments outside of the Portland-Vancouver area must be specifically authorized and agreed to in advance by the steeri~ ~ committee. You are then authorized to bill us our proportionate share of such expenses on a monthly basis. If the above arrangements are satisfactory, please so indicate by signing in the space provided on the attached copy of this Consulting Services Agreement and by returning one copy to my attention. This Consulting Services Agreement will remain in place for six months at which time it will be reviewed by both parties and could then be renewed, amended, changed or terminated by either or both parties. PNUCC meetings. 3. Regional Power Council meetings. 4. Speak at above meetings on behalf of non-generating full requirements customers of BPA 5. Particular PPC and PNUCC committee meetings. 6. Serve on AD Hoc committees. 7. Special BPA meetings (Rates, Conservation, Power Supply, etc.) ESTABLISH SPECIAL INTEREST WITH: 1. BPA 2. Regional Power Council 3. States 4.
