This Agreement made and entered into this /~3~day of
i~/~'~z-~/~.~ , 1983 between the SOROPTIMISTS INTERNATIONAL
OF ASHLAND, hereinafter called "Soroptimists", and the CITY
OF ASHLAND, a Municipal Corporation of the State of Oregon,
hereinafter called "City".
WITNESSETH:
RECITALS:
1. The Soroptimists desire to provide a transportation
service to the senior citizens of Ashland.
2. The City has agreed to assist the Soroptimists by
providing in-kind certain services to the project.
It is the desire of the parties to set forth the terms
and conditions regarding the in-kind services to be provided by
the City to'the Soroptimists.
3. There is anticipated to be an agreement between
Soroptimists and the Department of Transportation, Public Trans-
portation Division of the State of Oregon and it is understood
that the Soroptimists will have the full and complete duty of
performing all of the work to be performed in accord with said
Agreement.
NOW, THEREFORE, in consideration of the foregoing Recitals
the truth of which is hereby acknowledged and of the mutual covenants
contained herein it is agreed by and between the parties hereto as
follows:
1. The Soroptimists agree to fully perform all of the
work to be performed in accord with the agreement between it and
the Public Transportation Division as set forth above.
2. The City shall provide to Soroptimists the following
in-kind services:
a. Driver and training and supervision of the driver.
b. Dispatcher and necessary clerical assistance.
c. Fuel and maintenance of the vehicle involved.

3. Donations to the City will be accepted for the
service rendered but will not be required of persons using
the transporation service.
4. The Agreement may be terminated by either party
upon sixty (60) days written notice to the other party indicating
such intention.
