CITY AND Contractor AGREE:
1 All Costs by Contractor: Contractor shall, at its own risk and expense, perform the
work described above and, unless otherwise specified, furnish all labor, equipment
and materials required for the proper performance of such work.
2 Qualified Work: Contractor has represented, and by entering into this contract now
represents, that all personnel assigned to the work required under this contract are
fully qualified to perform the work to which they will be assigned in a skilled and
workerlike manner and, if required to be registered, licensed or bonded by the State
of Oregon, are so registered, licensed and bonded. Contractor must also maintain a
current City business license.
3 Completion Date: Contractor shall start performing the work under this contract by
the date indicated above and complete the work by the completion date indicated
above.
4 Compensation: City shall pay Contractor for work performed, including costs and
expenses, the sum specified above. Once work commences, invoices shall be
prepared and submitted by the tenth of the month for work completed in the prior
month. Payments shall be made within 30 days of the date of the invoice. Should the
contract be prematurely terminated payments will be made for work completed and
accepted to date of termination. Compensation under this contract, including all
costs and expenses of Contractor, is limited to $25,000.00 and City shall not be
obligated to pay any sum in excess of $25,000.00 unless a separate written contract
is entered into by City.
5 Ownership of Documents: All documents prepared by Contractor pursuant to this
contract shall be the property of City.
6 Statutory Requirements: ORS 279.312,279.314, 279.316 and 279.320 are made
part of this contract.

7 Living Wage Requirements: If the amount of this contract is $15,713 or more, and
Contractor is not paying prevailing wage for the work, Contractor must comply with
chapter 3.12 of the Ashland Municipal Code by paying a living wage, as defined in
this chapter, to all employees performing work under this contract and to any
subcontractor who performs 50% or more of the work under this contract. Contractor
must post the attached notice predominantly in areas where it will be seen by all
employees.
8 . Indemnification: Contractor agrees to defend, indemnify and save City, its officers,
employees and agents harmless from any and all losses, claims, actions, costs,
expenses, judgments, subrogations, or other damages resulting from injury to any
person (including injury resulting in death,) or damage (including loss or destruction)
to property, of whatsoever nature arising out of or incident to the performance of this
contract by Contractor (including but not limited to, Contractor's employees, agents,
and others designated by Contractor to perform work or services attendant to this
contract.) Contractor shall not be held responsible for any losses, expenses, claims,
subrogations, actions, costs, judgments, or other damages, directly, solely, and
approximately caused by the negligence of City.
9 Termination: This contract may be terminated by City by giving ten days written
notice to Contractor and may be terminated by Contractor should City fail
substantially to perform its obligations through no fault of Contractor.
10 Independent Contractor Status: Contractor is an independent contractor and not an
employee of the City. Contractor shall have the complete responsibility for the
performance of this contract. Contractor shall provide workers' compensation
coverage as required in ORS Ch 656 for all persons employed to perform work
pursuant to this contract and prior to commencing any work, Contractor shall provide
City with adequate proof of workers' compensation coverage. Contractor is a subject
employer that will comply with ORS 656.017.
11 Insurance: Contractor shall, at its own expense, at all times during the term of this
agreement, maintain in force a comprehensive general liability policy including
coverage for contractual liability for obligations assumed under this Contract, blanket
contractual liability, products and completed operations, owner's and contractor's
protective insurance and comprehensive automobile liability including owned and
non-owned automobiles. The liability under each policy shall be a minimum of
$500,000 per occurrence (combined single limit for bodily injury and property
damage claims) or $500,000 per occurrence for bodily injury and $100,000 per
occurrence for property damage. Liability coverage shall be provided on an
"occurrence" not "claims" basis. The City of Ashland, its officers, employees and
agents shall be named as additional insureds. Certificates of insurance acceptable
to the City shall be filed with City's Finance Department prior to the commencement
of any work by Contractor under this agreement. These certificates shall contain
provision that coverages afforded under the policies can not be canceled and
restrictive modifications cannot be made until at least 30 days prior written notice
has been given to City.

12 Assignment and Subcontracts: Contractor shall not assign this contract or
subcontract any portion of the work without the written consent of City. Any
attempted assignment or subcontract without written consent of City shall be void.
Contractor shall be fully responsible for the acts or omissions of any assigns or
subcontractors and of all persons employed by them, and the approval by City of
any assignment or subcontract shall not create any contractual relation between the
assignee or subcontractor and City.

Portland Engineering, Inc. (PEI) is pleased to present this proposal for hardware, installation and
system integration services to provide radio communications to 6 RTUs from the MTU at the
City of Ashland' Waste Water Plant. PEI will provide the services detailed in this proposal for a
fixed cost of $22,124.

reflection of the quality of work we will provide. PEI has revised the scope of work based on
conversations with City representatives to make the project the most expeditious and cost
effective as possible while still providing the most reliability for the City. The reuse of existing
hardware and proposing that the City purchase and install the panels ahead of the final radio
installation are all examples of our efforts.
Portland Engineering has extensive experience with similar projects and with the specific
hardware and software used by the City of Ashland. PEI is including letters of recommendation
from the two main vendors for this project, Wonderware and CB Engineering (Control
Microsystems). Additional references are available upon request.
PROJECT DESCRIWFION
The City of Ashland is upgrading the telemetry system for remote monitoring of six (6) existing
sanitary sewer pumping stations. The new system will utilize radio telemetry at each of the sites
on a licensed UHF frequency from the base or master station at the RAS/WAS pump station
building of the Wastewater Facility.
The existing controls for the Waste Water Plant at the MTU will be converted from a
SCADAPACK to a SCADAPACK32 as part of this project and the required telemetry
messaging will be controlled by this new SCADAPACK32. The replaced SCADAPACK is
available for use as one of the six (6) required RTUs for this telemetry project.
The existing Wonderware application at the Waste Water Treatment Plant will be modified to
indicate status of the six (6) pumping stations. Displays will indicate Power is OK, High Liquid
Level in Well, and Communication status for each pump station.
In addition, the SCADalarm automatic dialing system will be modified to provide discrete alarm
indication for high level or loss of communication / power.

The City's Instruction to Bidders requires that the contractor include FCC licensing, which is
included in PEI's base bid. This requirement by the City implies that a dedicated frequency be
utilized, which is a requirement PEI recommends for this critical application. Unlicensed Spread
Spectrum frequencies and radios are available for use which will typically reduce the installed
cost, but PEI is not proposing their use for this project. These unlicensed spread spectrum
frequencies are not regulated by the FCC and are less reliable than the lower frequencies
proposed by PEI. Radio path loss is directly related to the transmitter frequency making the
licensed frequencies less prone to interference from tree leaves and snow and ice than the spread
spectrum frequencies. In addition the licensed frequencies are not at risk to radio traffic
interference because the City will be the only user on the licensed frequency within radio range
of Ashland. In addition unlicensed radios are limited to about 1/3 Watts while the radios
proposed by PEI are 2 Watt radios.
TASK LIST
1. Provide UHF Licensing.

5. Assist the City's electricians in locating panels, antennas, and in defining conduit and
wiring requirements. (Note - the RFP states "The quote should not include electrical
installation of conduits, wire, mounting of antennas, or mounting of new panels").
6. Configure and shop test radio communications prior to delivery to City.
7. Upload existing WWTP program in SCADAPACK.
8. Configure new SCADAPACK32 for WWTP operations.
9. Program all Control Microsystems systems PLCs for new pumping system telemet~
system.
10. Modify Wonderware Application to integrate with new SCADAPACK32.
11. Schedule the WWTP for switching to the new SCADAPACK32 controller.
12. Modify Wonderware to display status, of pumping stations.
13. Modify Wonderware application for pumping station alarms.
14. Modify SCADalarm to dial alarm indications if not acknowledged at plant.
15. Startup and test telemetry system.
16. Operational Training.

PROJECT SCHEDULE
The City needs the system up and running by the end of June 2004, and preferably by June 15,
2004. This schedule is tight but feasible, provided the City does not delay in approving a
contract or purchase order to PEI. In addition to liability insurance, the contract documents
require E & O insurance which PEI maintains and we have had our insurance broker review the
requirements in the City's contractual documents and his reply was that our existing insurance
meets or exceeds these requirements.
Immediately after the contract is awarded, PEI will issue purchase orders for control hardware
and fast track the FCC radio licensing. In order to save time on deliveries, purchase orders will
be placed for controllers and radio equipment, even though the radio survey may not be

meet with City personnel to discuss field work requirements and scheduling. City personnel will
be able to work in a parallel path by mounting enclosures (empty). and runningconduit- and
pulling wire, PEI will assist the City in locating equipment. Preliminary PEI drawings are
included herein and can be reviewed by the City for special requirements such as intrinsically
safe requirements for level switch implementation. The actual switch over fromthe existing
telemetry system will occur after the communications have been tested satisfactorily.
Programming for the PLCs will take place in parallel to the shipping. PEI will upload the
program directly from the existing SCADAPACK and make modifications offline for
implementation to the SCADAPACK32 while waiting for delivery of parts and mounting of
hardware. The Wonderware application will also occur offline.
ASSUMPTIONS AND EXCLUSIONS
1. Portland Engineering will have access to the l~lant during normal working hours. No
overtime or weekend work will be required.
2. The RTU enclosures will not be located in a hazardous area.
3. The City will provide high level float switches.
4. PEI provided an optional price for intrinsically safe wiring to the float switch and the City
will notify PEI ifthis-option is-required.
5. No other intrinsically safe wiring is required.
6. No UPS is required; PEI will monitor communications to the radios and if the power goes
then the alarm will be loss of communications.
7. The WWTP requires only one SCADAPack32 to replace one SCADAPACK.
8. Radio survey can be by hand-held radios at each site to the base station. In the event that the
radio survey indicates additional hardware is required for repeaters or other hardware then a
change order for these additions will be approved by the City.
9. Appropriate down time or manual operations at the WWTP will be provided for switch over
from SCADAPACK to the SCDAPACK32's and for the telemetry startup and testing.

10. This proposal is based on SCADAPACK100s for the other 5 sites. If SCADAPACKs are
required then each site's cost will increase by $500.
11. The City will provide all electrical and panel installation services and will provide support
personnel to assist with start-up and testing as needed.
12. No sales or use taxes are included.
13. Radio license will require a Special Temporary Authority. Final licensing will not he
completed by June 30, 2004.
14. No Building Permits fees are included.

Options:
1. For an Intrinsic Isolation relay for the high level float switch add $234 for each of
six (6) pumping stations.
2. The base bid is with control panel pre-wired on a 17" x 17' backplane with the City
providing a suitable 20' x 20" enclosure (to expedite installation). PEI can provide
Hoffman A-20R208HCR type 3R enclosure for an additional $169 for each of six (6)
pumping stations.
PAYMENT TERMS
All payment terms are net 30 days. Pricing does not include any applicable taxes.
Terms of payment will he progress payments through the course of the project. Invoices will he
submitted by the 25th of the month due net 30 days.

WARRANTY
Portland Engineering, Inc. warrants only that its product and parts, when shipped, and its work (including
Installation, construction, and start-up), when performed will meet all applicable specifications and other
specific product and work requirements (including those of performance), if any, of this agreement, and
will be free from defects in material and workmanship. With respect to products, parts and work not
manufactured or performed by PEI, PEI's only obligation shall be to assign to Buyer, to the extent
possible, whatever warranty PEI requires from the manufacturer. All claims for defective products or
parts under this warranty must be made in writing immediately upon discovery and, in any event, within
one (1) year after initial start-up or eighteen (18) months after shipment, whichever first occurs, and all
claims for defective work must be made in writing immediately upon discovery and in any event, within
(1) year after initial start-up. Defective items must be held for PEI's inspection and returned to the
original f.o.b, point upon request.
UponBuyer's submission of a claim as provided ab6ve and its substantiation, PEI shall at its option either
(i) repair or replace its product, part or work at the original place of delivery, or (ii) refund an equitable
portion of the purchase price.
In no event shall Buyer be entitled to indirect, special, incidental, or consequential damages, nor for
damages for loss of use, lost profits or revenue, interest, lost goodwill, work or production stoppage,
impairment of other good, increased expenses of operation, or the cost of purchasing replacement power
or other services because of service intem~pfions. Furthermore, in no event shall PEI's total liability for
damages of buyer exceed the purchase price of the products or parts manufactured by PEI and upon
which such liability is based.

Microsystems PLCs. These projects have been both grassroots constructions and retrofit projects
at existing facilities. In all cases, Portland Engineering Inc. has performed admirably and

with some of these projects and recognize that they have been technically challenging in
communicating with various controllers and protocols. Portland Engineering, Inc. worked
diligently with the technical support group at Control Microsystems as well as other
manufacturers to resolve the communication issues. Several of these difficult handshaking
projects utilized the powerful SCADA capabilities to integrate Control Microsystems PLCs
directly with Allen Bradley and Modicon PLCs.
Portland Engineering, Inc. has utilized Control Microsystems with both the visual display operator
interfaces provided by Control Microsystems as well as third party PC based operator interfaces.
They have also utilized the broad capabilities of Control Microsystems PLCs in various telemetry
networks including radio and leased line communications.
