Christensen, City Recorder, 20 East Main, Ashland, OR H7520 $1.00 CONSERVATION EASEMENT FOR CITY OF ASHLAND True and Actual Consideration: 1. Grant of easement. The above named Grantors grant to the City of Ashland, Oregon, "Grantee," a perpetual non-exclusive conservation easement upon the real property described below and further referred to in this easement agreement as the "Ieasement area." The purpose of the conservation easement is to protect the riparian area within the 1 OO-year flood plain of Neil Creek and preserve the easement area for its natural scenic character. No development shall be allowed within the easement area. For purposes of this easement agreement, "development" means any alteration of the land surface by earth-moving activities such as grading, filling, stripping, orcuttin~J involving more than 20 cubic yards on any lot, or earth-moving activity disturbing surface area greater than 1000 square feet, construction of a building, road, driveway, parking area, or other structure, culverting or diversion of Neil Creek. The easement area is located in Jackson County, Oregon, and is described on the attached Exhibit A. 2. Prior Encumbrances. This easement is granted subject to all prior easements or encumbrances of record. 3. Enforcement. If Grantee determines that Grantors are in violation of this easement or a violation is threatened, Grantee shall give written notice to Grantors of such violation and demand corrective action sufficient to cure the violation, including restoration of any injured property. If Grantors fail to cure the violation within 30 days after recHipt of notice of the violation from the Grantee, or under circumstances where the viiolation cannot reasonably be cured within the 30 day period or fail to continue diligently to cure said violation until finally cured, Grantee may bring an action at law or equity in a court of competent jurisdiction to enforce the terms of this easement. Without limiting Grantors' liability thereto, Grantee in its sole discretion may apply any dama~les recovered to the cost of undertaking any corrective action on the property. Grantors retain all responsibilities and shall bear all costs and liabilities of any kind relating to the ownership of the property and do hereby indemnify and hold harmless Grantee. 5. Enforcement Costs. Grantors and Grantee intend that each party shall bear their own costs in bringing and responding to any action enforcing, judicially or otherwise, the terms and restrictions of this Conservation Easement against Grantors, Grantors' heirs, successors, personal representatives or assigns, including without limitation, costs of said suit and attorney fees. Any costs of restoration necessitated by violation of the terms of this Conservation Easement by Grantors, Grantors' heirs, successors, personal representatives or assigns, shall be borne by Grantors, Grantors' heirs, successors, personal representatives or assigns.
