Day Wireless Systems is pleased to present this proposal for a radio system upgrade. The Day
Wireless team, an agent for Motorola has made every effort to design a complete s:ystem that
addresses your present needs while enabling you to expand in the future.
As an added benefit to Ashland Fire and Rescue, Day Wireless Systems, agent for Motorola has
used the discounting structure found in the City of Portland Contract # 27963
In the attached proposal, you will see:
A three site communications system designed to extend the coverage throughout your
area of operation.
The complete development of a primary communications site located on property
currently owned by the City of Ashland.
In addition to a detailed listing of equipment schematics and pricing, this proposal incorporates a
Statement of Work and Acceptance Test Plan outlining the implementation and Inethodology for
accepting the operational readiness of the newly expanded system.
In this project, Day Wireless Systems is acting in our own behalf as local integrator and also
acting as an agent for Motorola, the leader in wireless communications technology. When
approved, a portion of the project will be issued to Day Wireless Systems and a portion to
Motorola and implemented by Day Wireless Systems. You will receive invoicing from Day
Wireless Systems and Motorola. This split is needed to meet requirements of the available grant
funding and also provide the lowest possible cost to Ashland Fire.

1. Executive Summary
At the request of Ashland Fire Department, Day Wireless Systems is pleased to offer the
following proposal. This proposal is compiled after a comprehensive analysis of the needs of the
Ashland Fire Depa11ment with respect to their two-way radio communications requirements, and
provides a proposal for a new multi-cast systerrl.
The following report details the collection of data from the preliminary System design that
describes the recolllmendations of Day Wireless Systems and provides Recommendations for
implementation of the proposed solution.
This will allow the Ashland Fire Department to develop an efficient channel allocation plan that
will meet the following objectives:
. Create a separate Multi-cast repeater channel for each of the defined areas. One channel,
from Ashland Acres, will serve local traffic; the channel from Mt. Ashland will provide
wide area coverage.
In summary, Day Wireless Systems has created an enhanced communications design for the city
public safety operations that will provide significant increases in coverage, sufficient (and FCC
compliant) frequency allocation, and state-of-the-art technology that will provide a feature-rich
system meeting the needs of the city for many years to come.
Day Wireless Systems has been providing communications solutions and services to state, local
and private enterprises for over 40 years, and we appreciate the opportunity to continue our
partnership with the Ashland Fire Department.
The Proiect
Using the latest in Motorola Radio Technology, the project involves the analysis and design of a
multi-cast radio solution to interconnect and distribute radio traffic over the functional area that
makes up the Ashland Fire District.

2. Statement of Work
Scope of Services
Specifically, the scope of work shall include:
Site Survey
Site survey is to be conducted by technical staff from Day Wireless Systems who will visit each
of the customer's locations. This customer will be required to make available access to existing
and possible transnlitter locations, antenna mounting locations/structure, and other various
locations throughout the area as necessary. Site data pertaining to LatILong/AMSL, antenna
location, A/C power and telephone access will be conducted.
System Desi2n
Using the information gathered during the site survey, a customized System Design will be
generated based on desired RF coverage objectives (95% in building coverage within city
boundaries and out to urban growth boundaries). This process will determine the nunlber and
location of sites required to provide the level of coverage desired.
The specific deliverables are best described as:
Basic 2-Way RF Signal Level Coverage Study
This service will generate a customized forward & reverse path loss budget for proposed
Transmit & Receive antenna systems and typical subscriber device. Details for assunlptions
made to derive the path loss budget will be included. Optionally, additional loss factors such as
measured building penetration loss factors or input on other assumptions (such as body loss) may
be specified by the customer. Unless otherwise specified, all assumptions used for this service
will be based upon generally available published data regarding RF propagation studies. After
initial coverage study a survey crew will be sent back out to verify signal strength predictions for
in building coverage. After completion of signal strength testing, system design will1be
completed.
. Tabular listing of the forward/reverse path budget.
. Calculate forward & reverse signal strength for each transmit/receive site using a
computer prediction program with Microsoft 2000 propagation software, 3 arc second
digital terrain database and 30 arc second digital land use/land clutter database and detail
from the USGS.
. Field survey signal strength for in building coverage prediction.
. One multicolor RF signal strength map per site.

Voted Receiver and additional Site information
Provide identification of geographic areas requiring RF coverage with a Receiver voting system,
or additional transrnitter sites, as needed.
. One multicolor map for each transmit site, depicting areas of coverage with additional
sites and voted receivers.
Composite Coverage Map
Provide an RF signal strength coverage map depicting the composite RF signal level of the
forward & reverse channels.

3. Test Results
Results
The site survey process started with staff from the Medford Day Wireless shop and from the Day
Wireless Engineering Department, selecting several possible locations that may be suitable for
establishing a comlnunications site or sites that could possibly be used to provide rad:lo coverage
requested by the Ashland Fire Department. When the possible sites were identified, predicted
coverage maps for each site were developed and evaluated by the Engineering departJment, to
narrow down the sdection to sites that could provide the radiation patterns necessary for radio
coverage in the Ashland Fire District area.
As a result of the coverage map predictions and the criteria to locate as many sites as possible on
city owned property, or property where access could be easily obtained, three sites were selected.
A Site Survey and actual drive test was then conducted over a three day period, to verify the
coverage predictions. A test base station configured with similar transmit, receive, and antenna
settings as would be expected to be recommended for a permanent installation, was set up and
deployed one site at a time at the proposed Ashland Acres site, and then the Talent Police station.
These two sites were chosen to provide a 95% in building, local coverage area in and around
Ashland and Talent. The third site was identified as Mt Ashland. This is an established
communications site that will be used to provide wide area coverage in areas outside nf the
coverage footprint of the local coverage sites. Since 95% coverage was established as the
criteria for portables in the urban areas and Mt Ashland is already established with a 'Nell know
coverage footprint for areas outside of the cities, drive testing was not considered necessary from
the Mt Ashland sit(~.
The Day Wireless team went to a total of 83 locations in and around the Ashland and Talent area
and tested radio communications between the test base and both mobile and portable radios.
Each location was logged with an address or coordinate and then tested for signal stre:ngth and
audio quality, The results from each location were logged to that location.

In order to meet thl~ 95% coverage criteria, it was determined that of the 83 locations tested, at
least 79 of the locations must have a signal strength and audio quality reading sufficit::nt to
provide a delivered audio quality of 3.4 or greater. (see appendix for explanation of delivered
audio quality) To further qualify the process, of the 83 locations tested, 50 were portable tests
done in building, It was determined that of those 50 locations, 48 needed to pass the same audio
quality requirements. Results of the drive test show that the locations chosen will provide the
95% in building coverage, requested by the Ashland fire department.
4. System Description.
Sites
The site survey results demonstrated that the adequate coverage could be accomplish~:d with
three sites, utilizing receiver voting.
. The sites needed for this project will be the Mt Ashland site, to be used for wide area
mobile coverage outside of the Ashland metro area. This will be a transmit and receive
site.
. The Talent Police building will be used for a voted receiver site to enhance portable radio
coverage in Talent and south toward Ashland.
. The third site will be located in the south west corner of the City of Ashland property
know as Ashland Acres. This will be the main site for transmit and receive and provide
the main portable coverage in and around the Ashland metro area.
The Ashland Acres Site is located approximately 180 ft. north of where Eagle Mill Road passes
underneath ofl-5. It is located at approximately N420 12' 59.2", W1220 42' 36.6" near the
southern corner of the city owned property in Township 38 Range IE Section 33. The exact
location of the site will need to be determined through property survey. This end of the property
is not inhibited by surrounding vegetation or other radio encumbrances, so the optimum location
can be determined by locating the nearest available power line and where the site would have the
least impact on property value should the city decide to sell the remaining portion of the
property.
System

The most cost effective system for Fire department use would be a three site receiver voted
system with two of the sites set up as transmit sites. The transmit sites would be controlled by
the voting comparator. Both transmitters would transmit at the same time, on separate transmit
channels, in a multi-cast configuration. All three sites will use the same receive freqUi~ncy and
the voting comparator will provide the best receive audio to both transmitters. One transmit site
will be primarily used for in-building and urban portable coverage and the second transmit site
will be used primarily for mobile coverage of the outlying areas in the fire district. Using this
configuration, the subscribers will be able to use the local channel for all traffic in and around the
local metro area and switch to the wide area channel as needed when outside of the local
coverage area. In any event, the subscriber will be able to hear and talk to all traffic on the fire

channel no matter which area they are in. This option is the most cost effective, in that the
infrastructure cost will be lower than what would be required for a full simulcast system.
However, it does n;~quire the mobile users to change channels when they move out of the local
coverage area. Because of the overlap of coverage for mobile units, between the two transmit
sites, manual channel selection should not be required very often. The equipment will be Project
25 compliant.
The Ashland Acres site will need to be developed prior to the installation of the systelTI. The
Ashland Acres site will be the prime site for this system. Since this site may be offered to other
public safety entities for use, it will need to be designed to handle multiple users.

City of Ashland Radio Repeater Station
Construction Contract
Contract dated this 22nd day of April 2005 between the City of Ashland, by and through 'rc',
Ashland Fire & Rescue, and Day Wireless Systems, a dba: of Day Mar.agement Corp.
Recitals:
A, The City of Ashland desires to have constructed a radio repeater system and all
related equipment and facilities to enhance basic two-way RF signal coveragle within
the emergency service area of Ashland Fire & Rescue.
B. Project design and implementation will provide a 950/0 in-building two-way RF signal
coverage capability within the Ashland Fire & Rescue service area.
The City of Ashland and Day Wireless Systems agree:
1. SCOPE OF W()RK: Scope of work will be as outlined in attached Exhibit B.
2. COMPLETION DATE: June 30, 2005. Time is of the essence for completion of this
project.
3. STATUTORY REQUIREMENTS: ORS 279C.505, 279C.515, 279C.520, and
279C.530 are made part of this contract.
4. COMPENSATION: City shall pay Contractor for work performed, including costs and
expenses, the sUlm of $161, 032.72. Compensation under this contract, including all
costs and expenses of Contractor, is limited to $161, 032.72 and City shall not be
obligated to pay any sum in excess of $161 ,032.72 unless a separate written contract is
entered into by City. Once work is deemed complete by the City, City shall pay ..
Contractor $161,032.72 within 30 days based on milestones included. \,-~~:)
5, OWNERSHIP OF DOCUMENTS: All documents prepared by Contractor pursuant to
this contract shall be the property of City.
6. WORKER'S COMPENSATION: The contractor, its sub-contractors, if any, and all
employers providing work, labor, or materials under this contract are subject employers
under the Oregon Workers' Compensation Law and shall comply with ORS 656.017,
which requires them to provide workers' compensation coverage that satisfies Oregon
law for all their subject works. This shall include Employer's Liability Insurance with
coverage limits of not less than $100,000.00 each accident. Contractors who perform
the work without the assistance or labor of any employee need not obtain such
coverage.
6.1. Primary Coveraqe: Insurance carried by contractor under this contract shall
be the primary coverage, and the City's insurance is excess and solely for damages or
losses for which the City is responsible.
6.2. Indemnification: Contractor agrees to defend, indemnify and save City, its
officer, employees and agents harmless from any and all losses, claims, actions, costs,
expenses, judgments, subrogation, or other damages resulting from injury to any
person (including injury resulting in death), or damage (including loss or destruction) to
property, of whatsoever nature arising out of or incident to the performance of this
agreement by contractor (including, but not limited to, contractor's employees, agents,
and other designated by contractor to perform work or services attendant to this
agreement). Contractor shall not be held responsible for damages caused by the
negligence of City. The contractor agrees that contractor will be solely responsible for
any damage or trespass to or upon adjacent property or injury thereto, resulting from or
in connection with contractor's operation, and that contractor will defend, indemnify and
hold the City harmlless from any claim, liability or obligation arising from such entry or
trespass.
7. INSURANCE: Contractor shall, at its own expense, at all times during the term of
this agreement, maintain in force a comprehensive general liability policy including
coverage for contractual liability for obligations assumed under this Contract, blanket
contractual liability, products and completed operations, owner's and contractor's
protective insurance and comprehensive automobile liability including owned and non-
owned automobiles. The liability under each policy shall be a minimum of $5,00,000 per
occurrence (combined single limit for bodily injury and property damage c1airns) or
$500,000 per occurrence for bodily injury and $100,000 per occurrence for property
damage. Liability coverage shall be provided on an "occurrence" not "claims" basis. The
City of Ashland, its officers, employees and agents shall be named as additional
insureds. Contractor shall submit certificates of insurance acceptable to the City with
the signed contract prior to the commencement of any work under this agreement.
These certificates shall contain provision that coverages afforded under the policies
cannot be canceled and restrictive modifications cannot be made until at least 30 days
prior written notice has been given to City.
8. PREVAILING \NAGE REQUIREMENTS: The contractor is required to pay prevailing
wage rates and comply with the provisions of 279C.800 through 279C.870.
9. MATERIALS AlND WORKMANSHIP: The contractor will furnish all labor and tools,
equipment, transportation, and necessary supplies, such as may be reasonably
required to execute the contract in a satisfactory and workerlike manner and in
accordance with the plans developed by the contractor and approved by the City of
Ashland, specifications and terms of the contract.
All workmanship shall be of the highest quality in every particular.
10. PROTECTION OF PERSONS AND PROPERTY: The contractor shall erect and
maintain good and sufficient guards, barricades and signals at all unsafe places at or
near the work. The City of Ashland assumes no responsibility or liability to direct the
contractor in the manner of placement or type of barricade or guard to be utilized.

10.1. Protection of Work. Contractor shall protect and maintain the work during
construction and until final acceptance. This maintenance shall constitute continuous
and effective work prosecuted day by day, with adequate equipment and forces so the
work is kept in satiisfactory condition at all times.
10.2. Correction bv City. If contractor fails to protect or maintain the work, City
will immediately notify contractor. If contractor fails to correct the deficiency vvithin five
work days after receipt of such notice, City may correct the deficiency in which event
the cost of this maintenance shall be borne by contractor and may charge Contractor
for City's costs.
11. INSPECTION:~ Inspections of the work will be made on a regular basis by
representatives of the City, who shall have access to the work at all times. No utility
installation shall be backfilled without approval of the project inspector. Any vv'ork found
to be improperly done shall be removed and replaced at the contractor's expense.
12. PERSONAL L.IABllITY OF PUBLIC OFFICIALS: In carrying out the provisions of
the contract docUlllents, or in exercising any power or authority granted to the
contractor by the contract, the contractor agrees there will be no liability upon the
officials, officers, or employees of the City of Ashland, either personally or as officials of
the City of Ashland; it being always understood that in such matters they act as the
agents and representatives of the City.
13. INDEPENDENT CONTRACTOR STATUS: Contractor is an independent contractor
and not an employee of the City. Contractor shall have the complete responsibility for
the performance of this contract. Contractor shall provide workers' compensation
coverage as required in ORS Ch 656 for all persons employed to perform work
pursuant to this contract and prior to commencing any work, Contractor shalil provide
City with adequate proof of workers' compensation coverage. Contractor is a subject
employer that will comply with ORS 656.017.
14. TERMINATIC~N: This contract may be terminated by City by giving ten days written
notice to Contractor and may be terminated by Contractor should City fail substantially
to perform its obHgations through no fault of Contractor.
15. FINAL INSPECTION: Unless otherwise required, City of Ashland's representative
shall make final inspection of the work included in the contract within 15 days after
written notification by the contractor that the work is completed. If the work is not
approved by City of Ashland's representative after inspection, City of Ashland's
representative shall advise the contractor as to the particular defects to be remedied
before final approval and recommendation for acceptance can be made to j[he City.
16. REPRESENTATIVE: As used in these requirements, the City of Ashland's
representative is the person appointed by the City to represent the City in rl1atters
arising under this contract.
17. PERMITS: Contractor shall obtain and pay for all necessary permits and licenses,

for the construction of the project, for temporary obstructions, enclosures, utilities,
environmental, etc:, as required for the project. contractor shall be responsible for all
violations of the law, in connection with the construction or caused by obstructing
streets, sidewalks or otherwise. Contractor shall give all requisite notices to public
authorities. The contractor shall pay all royalties and license fees and shall defend all
suits or claims for infringement of any patent right and save the City harmless and
blameless from loss on account of such claims.
18. COMPLIANCE WITH ALL GOVERNMENT REGULATIONS: Contractor shall
comply with all federal, state and local laws, codes, regulations and ordinances
applicable to the vllork. Failure to comply with such requirements shall constitute a
breach of contract and shall be grounds for contract termination. Damages or costs
resulting from noncompliance shall be the responsibility of contractor.
18.1. Contractor shall comply with all applicable requirements of federal and
state civil rights and rehabilitation statutes, rules and regulations; and
18.2. Contractor shall not discriminate against disadvantaged minority, women or
emerging small business enterprises in the awarding of subcontracts, ORS 279A.11 O.
18.3. Contractor shall maintain, in current and valid form, all licenses and
certificates required by law, regulation, or this contract when performing the work.
18.4. Contractor shall certify that it shall not accept a bid or proposal from sub-
contractors to perform work as described in ORS 701.005 under this contract unless
such sub-contractors are registered with the Construction Contractors Board in
accordance with ORS 701.035 to 701.055 at the time they submit their bids or
proposals to the contractor.
19. LAWS TO BE OBSERVED: In compliance with ORS 279C.525 the following is a list

20. PREVENTION OF ENVIRONMENTAL POLLUTION: It is mutually understood and
agreed that the Department of Environmental Quality of the State of Oregon has
enacted ordinances and regulations dealing with the prevention of environmental
pollution and preservation of natural resources which ordinances and regulations affect
the performance of the contract. The contractor shall comply with all such applicable
ordinances or regulations in the performance of this contract.
Unless disposition of environmental pollution is specifically a part of this contract,
contractor shall inlmediately notify City of any hazardous substances which contractor
discovers or encounters during performance of the work required by this contract.
"Hazardous substances" are those substances, materials or wastes regulated in 40
CFR, Part 261 and defined as hazardous in 40 CFR S 261.3. In addition to notifying
City of any hazardous substances discovered or encountered, contractor shall
immediately cease working in any particular area of the project where a hazardous
substance has been discovered or encountered if continued work in such area would
present a bona fide risk or danger to the health or well being of contractor's or any sub-
contractor's work force.
20.1. fumLResponsibilitv Contractor will be held responsible for any and all
releases of environmental pollution during performance of the contract which occur as a
result of, or are contributed by, actions of its agent, personnel, or sub-contractors.
contractor agrees to promptly dispose of such spills or leaks to satisfaction of the City
and proper regulatory agencies in a manner that complies with applicable federal, state,
and local laws and regulations. Cleanup shall be at no cost to the City.

Contractor shall report all reportable quantity releases to applicable federal, state, and
local regulatory and emergency response agencies. Reportable quantities are found in
40 CFR, Part 302, Table 302.4 for hazardous substances and in OAR 340-108 for
petroleum products. Upon discovery, regardless of quantity, contractor must
telephonically report all releases to the City. A written follow-up report shall be
submitted to City vvithin 48 hours of the telephonic report. Such written report shall
contain, as a minirnum:
20.1.1. Description of items released (identity, quantity, manifest no., and
all other documentation required by law.)
20.1.2. Whether amount of items released is EPAlDEQ reportable, and, if
so, when it was reported.
20.1,,3. Exact time and location of release, including a description of the
area involved.
20.1.4. Containment procedures initiated.
20.1.5. Summary of communications about the release contractor has had
with members of the press or State officials.
20.1.6. Description of cleanup procedures employed or to be employed at
the site, including disposal location of spill residue.
20.1.7. Personnel injuries, if any, resulting from, or aggravated by, the
release.
21. lOCATION OF EXISTING UTiliTIES: The contractor shall exercise all possible
caution to prevent: damage to existing structures and utilities whether above ground or
under ground. The contractor shall notify all utility offices concerned at least 48 hours in
advance of construction operations in which a utility's facilities may be involved. This
shall include but not be limited to water, gas, telephone, electric and television service.
21.1. It shall be the responsibility of the contractor to secure field locations for all
existing underground utilities in the project area. The contractor shall maintain these
locations for the duration of the project. The contractor shall bear all costs to repair
damage to utilities directly resulting from the contractor's actions.
22. BARRICADES AND SIGNS: The contractor shall provide, erect and maintain all
necessary barricades, signs, danger signals and lights for the protection of the public.
23. FINAL CLEAN-UP: Upon completion of the work and before acceptance and final
payment shall be made, the contractor shall clean up and remove from the right-of-
ways, easements, and adjacent properties all surplus and discarded materials, rubbish,
temporary structures and debris of all kinds. The contractor shall tear down and remove
all buildings and other construction structures erected by or for the contractor or by or

for sub-contractors or employees, whether the same be on the street or on pl;ivately
owned property and whether the title to the buildings or structures does or does not rest
with the contractor. The contractor shall restore in an acceptable manner all property,
both public and private, which has been damaged during the prosecution of the work,
and shall leave thE~ street and adjacent easement in a neat and orderly condition
throughout its entire length.
24. REPLACEMENT OF DAMAGED PAVEMENT: Any pavement or roadway surfacing
which is distributed or damaged as a result of operations of the contractor shall be
repaired or replaced by the contractor at the contractor's own expense with nnaterial
equivalent to the existing pavement and to the satisfaction of the Engineer.
25. NOISE CONTROLS: The contractor shall strictly observe all federal, state, and
local regulations concerning noise.
26. PROTECTION OF WORKERS: The contractor shall comply with the current safety
standards of applicable building and construction laws and codes, including the
"Manual of Accident Prevention in Construction" published by the Associated General
Contractors of ArTlerica, and the United States Department of Labor (Occupational
Safety and Health Administration) Safety and Health Regulations for Construction, 29
CFR 1910, as revised November, 1978, and the Oregon Occupational Safety and
Health Code, OAR Ch. 437, Div. 3 Construction. The contractor shall be solely and
completely responsible for all persons and property during performance of vvork. These
requirements shall apply continuously and shall not be limited to normal working hours.
The contractor shall maintain at a well-known place at the job site all articles necessary
for giving first aid to the injured and, before employees shall be permitted to work at the
job site, the contractor shall make standing arrangements for the immediate removal to
a hospital or to a doctor's care of persons, including employees who may be injured on
the job site.
27. ASSIGNMENT and SUBCONTRACTS: Contractor shall not assign this contract or
subcontract any portion of the work without the written consent of City. Any attempted
assignment or subcontract without written consent of City shall be void. Contractor shall
be fully responsible for the acts or omissions of any assigns or subcontractors and of all
persons employed by them, and the approval by City of any assignment or subcontract
shall not create any contractual relation between the assignee or subcontractor and
City.
28. BOLl Fee: Contractor is required to pay a fee to the Bureau of Labor and Industries
(BOll) pursuant to the provisions of ORS 279C.825. The fee is one-tenth of one
percent of the price of the construction portion of the contract, but not less than $100
nor more than $Ei,OOO regardless of the contract price.
29. Correction of Work After Final Payment: Neither the final certificate of payment
nor any provision in the contract documents shall relieve the contractor of responsibility
for faulty materials or workmanship and, unless otherwise specified, the contractor shall
remedy any defects due thereto and pay for any damage to other work resulting one

year from the date of the complete building or installation. The City shall give notice of
observed defects vvith reasonable promptness.

3. System [)escription
Day Wireless Systems has previously completed a detailed engineering study in behalf of
AsWand Fire, Thle proposed system design is a direct result of discussions between Day
Wireless and Ashland Fire on review of the engineering study and how to implement the various
recommendations of the study.
Based on review of the study, the proposed system calls for the most cost effective system for
Ashland Fire whi(;h would be a three site receiver voted radio system with two of the sites set up
as transmit sites. The transmit sites would be controlled by the voting comparator. Both
transmitters would transmit at the same time, on separate channels, in a multi-cast configuration.
All three sites will use the same receive frequency and the voting comparator will provide the
best receive audio to both transmitters. One transmit site will be primarily used for in-building
and urban portabh~ coverage and the second transmit site will be used primarily for mobile
coverage of the outlying areas in the fire district.
The designated sites will be:
Mt. Ashland - to be used for wide area mobile coverage outside of the Ashland metro
area. This will be a transmit and receive site.
Talent Police Building - to be used for a voted receiver site to enhance portable radio
coverage in Talent and south toward Ashland.
Ashland Acres - this will be the main site for transmit and receive and provide the main
portable radio coverage in and around the Ashland metro area This will be a new site
requiring (;onstruction of a road, provision of commercial power and the erection of a
building and a 50' tower.
Using this configuration. The subscribers will be able to use the local channel for all traffic in
and around the local metro area and switch to the wide area channel as needed when outside of
the local coverage: area. The subscriber will be able to hear and talk to all traffic on the.;: fire
channel no matter which area they are in. Mobile users will need to change channels when they
move out of the local coverage area. Because of the overlap of coverage for mobile writs
between the two transmit sites, manual channel selection should not be required very often.
System connectivity will be established with both UHF and microwave elements. Mi(;rowave
links will be installed to link Mt. AsWand and Ashland Acres and Ashland Police. A UHF radio
link will instaiied to link Talent PD with Ashland Acres.
Motorola brand Quantar radios and voting equipment are specified and will provide the high
level of performance and reliability demanded by this mission critical system. Microwave links
will be provided using equipment from LPN Wireless and deployed on 4.9 GHz freqUi~ncies
reserved for public safety usage. The design and key equipment provided will be Project 25
Compliant.

We also provide nussion critical services to many of the public safety agencies in the area which
means we are organized and trained to keep your systems operational even under denlanding
conditions. Weare pleased to be able to provide tremendous depth in the number of skilled
technicians and talents that can be made available to offer true one-stop service for clients.
Our goal is to partner with Ashland Fire and to be your "radio shop" for all necessaI)' services.
We know the current system and staff and their needs and are always on call to support your
system. In Southern Oregon we provide personal service with experienced, friendly technical,
administrative and sales staff. Our local Medford office will be the primary support point and
they will bring in additional resources or skills as needed. The Office Administrator in the shop
will handle your dispatch, scheduling and customer account needs. The local sales
representative win attend to your needs for system solutions. The technicians will be deployed
as requested, including on a 24x7 basis as one technician is always on call for emergency
servIce.
Leading the local area is Angel Barajas, Area Business Manager. Angel possesses business and
technical responsibility for the Southern Oregon and Northern California area. He reports to the
Director of Operations who reports to the President of the company. Angel has a direct focus on
quality services and solutions. He can bring in additional technical, engineering, site
management, rental, or licensing resources as needed to support the Department's needs.
Day Wireless Systems has specific operating practices for service work, maintenance programs,
billing, project m;anagement, safety and other daily activities. The Area Business Manager is
responsible for following those practices. The compmy operates a standard operating software
designed specific;a1ly for wireless industry application. A distributed computer network is
supported by a modem IBM AS400 hardware system

5. System ImPlementation
The system will be implemented in a prompt and effective manner.
Upon award of the contract, Day Wireless will name a Project Manager (PM) to be the primary
point of contact. The Day Wireless PM meet with Ashland Fire's Project Manager to review
system details to determine all is correct as required.
A proposed project task list and schedule of implementation is enclosed for review.
Implementation plans, schedules and needed equipment lists will be reviewed with Ashland Fire.
Once the project plan is confirmed, a schedule to implement will be prepared and agn~ed upon by
the respective Prc~ect Managers.
A transition plan will be defined that keeps the radio system functioning at all times during the
process.
Once organized, the project will commence per the schedule. All relevant parties will. be notified
of the installation and coordinated as needed.
A training plan will be prepared and agreed upon. The plan will include dispatch and fire staff.
Training materials will include a system diagr~ new coverage expectations and radio channel
information.
Dispatch
One session of up to two hours for dispatch staff to acquaint them with the ch~U1ges.
Administrative staff and shift supervisors will be the recommended attendees.
Fire
One session of up to two hours for Fire Command staff and others as needed. This will
include h2U1ds-on review of the radio changes.
Upon final installation, the system will go through testing and then final acceptance.
Presentation of final as-built documents will complete the project.

9. WarrantlJr and Maintenance
Warranty & Service
The delivered system will be under warranty for a period of one year.
Normal field repair hours are Monday to Friday, 8 am to 5 pm.
Equipment that c,m be repaired in the field or at the nearby Day Wireless shop will be repaired
and returned.
Equipment that is unable to be field repaired will be returned to factory for repair and return.
Normal turn-around time is less than 10 days.
Maintenance Program

Maintenance Agreement
Terms & Conditions
1. DEFn~TIONS.
"DWS" Shall mean Day Wireless Systems. "Licensee "shall mean and apply to the FCC
licensee, or the User, or the Purchaser of the equipment to be maintained by the terms of
this agreeInent.
2. PERFORMANCE OF MAINTENANCE.
Day Wireless Systems agrees to provide maintenance (as defined below) for the user of
the equipnaent described in this document beginning and ending on the dates indicated in
consideration of the user's payment of the monthly maintenance charges. Maintenance
shall include the labor and parts required to repair equipment that has become defective
through normal wear and usage.
3. ~rTENANCE STANDARDS.
a. The equipment will be maintained by DWS in accordance with these standards:
1. Factory parts or parts of equal quality will be used.
11. Oil, water, dust, and foreign substances will be removed frOII1 the
equipment.
111. The equipment will be subject to mechanical abuse.
IV. The equipment will be maintained at the levels necessary to provide the
required communication.
v. Routine maintenance procedures will be followed.
VI. Qualified technicians will do all maintenance work. The equiJPment will
be inspected and adjusted periodically and as often as required.
Maintenance service does not insure unintemlpted operation of the
equipment.
b. E)(CEPT FOR THE FOREGOING, DWS l\1AKES NO OTHER WARRANTIES,
E)(J>RESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF
MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE.
4. TIME: AND PLACE OF MAINTENANCE WORK
Maintenance work on the base station or other fixed equipment shall be performed at the
location of the equipment and the licensee shall furnish heat, light, and power at the
locations. The licensee shall deliver mobile lIDits and removable equipment to Day
Wireless Systems located at the Tangent Shop.

EXCI.JUSIONS
u
a. lllis agreement does not include maintenance of any transmission line" antennas,
tower, or tower lighting, unless such work is described in this agreement, such
maintenance Inay be furnished upon request at prevailing material and labor rates
at the time of the request.
b. Maintenance does not include the repair or replacement of equipment that has
otherwise become defective, including, but not limited to, damage caused by
accidents, physical abuse, or misuse of the equipment, fires, and acts of God. Also
does not include extensive maintenance or replacement of equipment due to
ink~rference, intermodulation, or other degrading signals causing poor service that
the: equipment is not designed to reject.
c. This Maintenance Agreement does not allow for the replacement of any antenna
cOInbining equipment. Should a failure become evident, it shall be the sole
responsibility of the Department for the replacement of the malfunctioning
device. Day Wireless Systems shall replace the defective device at the time and
material rates described under this agreement.
6. Pavm'm!
a. D\VS shall invoice the licensee on a monthly, quarterly, semi annual or annual
basis for all amounts due under this agreement. Licensee agrees that payment
shall be made in ten (10) days after the date of the invoice.
b. E(lJch invoice shall be due and payable whether or not the equipment is operating,
and DWS may terminate this agreement by giving Licensee ten (10) days notice
by certified mail if the Licensee defaults in its payment to DWS.
7. FCC RECORDS
Application and statements offact when required by the Federal Communications
Commission must be subscribed and swom to by the Licensee, and the Licensl~e is
responsible for meeting FCC requirements. However, DWS will provide the Licensee
with forms, advice, and technical assistance, including frequency, modulation, and power
measurements to aid in meeting those requirements.
8. INTERRUPTION OF SERVICE
The Licensee shall notify DWS in the event of a failure or malfunction of the unit. If
DWS fails: to repair the unit within a reasonable time, the licensee shall notify the
Headquarters Office in writing. After said notice from the Licensee to the Headquarters
Office, D'N'S shall be liable for any interruption or interference affecting the use of or
transmission through the equipment maintained to the extent of a pro rate allowance
based on the monthly maintenance fee for the time such interruption or interference is
attributable to the fault of DWS.
9.
FORCE MAJEURE

DWS shall not be responsible for any damages, delay in performance or failur'e to
perform under this Agreement if such damage, delay in performance, or failurl~ to
perform is caused by any acts or omissions of Licensee, fire, strike, or other labor
disputes, l~mbargo, government regulations or requirements (legislative, judicial, military
or otherwise), power failure, electrical power surges or current fluctuations, lightning
strike, flood, war, water, the elements, or other forces of nature, delays or failures of
transportation, equipment shortages, suppliers' failures or other causes beyond reasonable
control, whether or not similar to the foregoing.
10. AUT()lMATIC RENEWAL
After the ";Date Maintenance Ends" indicated on this agreement, this agreement shall
continue for successive additional periods of 1 month, provided the either DWS or the
Licensee nnay terminate this agreement on the "Day Maintenance Ends" or thereafter
upon 30 days written notice to the other party sent by certified mail to the address
indicated herein.
11. WAIVER
Failure or delay on the part of DWS to exercise any right, power, or privilege hereunder
shall not operate as a waiver thereof.
12. PRIOR NEGOTIATIONS
This contract constitutes the entire agreement of the parties hereto and shall supersede all
prior offers, negotiations, and agreements.
13. AMENDMENT
No revision of this agreement shall be valid unless made in writing and signed by a
general manager or corporate officer of DWS and an authorized agent of the Licensee.
14. CONTROLLING LAW
The parties agree that the terms of this Agreement shall be interpreted in accordance with
the laws of the State of Oregon. Licensee agrees that venue of any action to enforce this
Agreement shall be in Multnomah County, Oregon.
15. WAIVER OF BREACH
The waive:r by DWS of any term under this Agreement is not a waiver of any other term
or the waiver of the same term at any other time.
16. NOTICES
Any noticle required or permitted to be given under any of the provisions of this
Agreement or governing law shall be given in writing and either hand delivered or sent
by certified first class mail, postage pre-paid, to the licensees address on the this
agreement and to DWS at 4700 SE International Way, Milwaukie, OR 97222.

17. ATTOIRNEYS' FEES
In the event DWS retains an attorney to compel compliance with the terms of this
Agreement, DWS shall be entitled to recovery attonleys' fees, collection costs incurred,
and any other associated fees and charges.
18. SEVERABILITY
If any portion of this Agreement is declared invalid, the remainder if the Agre~~ment shall
continue to be binding upon the parties..
19. ENTIlm AGREEMENT
This Agrec~ment constitutes the entire agreement between Licensee and Day \Vireless
Systems. This agreement may be amended only by written instrument executed by both
parties.
20. LIMITATION OF LIABILITY
In no event shall DWS be responsible to the Licensee for any indirect, special, or
consequential damages or lost profits arising out of or related to this Agreement or the
performance or breach thereof. Day Wireless Systems' liability to the License~~, if any,
shall in no event exceed the total amount paid hereunder to DWS by the License.
