This agreement is between CHICKERING-GREEN EMPIRE, INC., Consultants in Photogrammetry and Surveying, 1370 South Bertelsen Road, Eugene, Oregon, hereinafter referred to as Consultant and the CITY OF ASHLAND, OREGON, hereinafter referred to as Owner. B. This agreement is for services described generally as: the establishment of hori- zontal map control on the aerial mapping photography and the compilation of topo- graphic maps by photogrammetric methods. C. Consultants will Initiate these services upon the signing of this agreement. D. Compensation to the Consultant for services described shall be based on lump sums for Map Control Surveys and Semlanalytlcal Control Bridging, a fixed hourly rate for equipment use and reimbursement for direct costs for labor, materials and contingencies plus a fixed fee for professional services as described In the Fee Schedule (EPA Form 5700-41), Attachment E. However, the maximum work permitted under this agreement shall not exceed a total of $15,000.00 without written authorization by the Owner. E. Compl lance with Federal Regulations: Consultant will comply with all federal regulations which are currently In effect, pertaining to equal opportunity and non-discrimination. These regulations are made a part of this agreement by reference. F. The following at~achments are part of and applicable to this agreement. Attachment A - Project Description and Scope of Work Attachment B - Specifications Attachment C - Project Map Attachment D - Cost Summary Attachment E - Fee Schedule - 1 - T~ - Professional Services Agreement Page 2 G. Schedule of Payments: Consultant shall be paid not oftener than monthly on the basis of invoices submitted. These invoices wlll be for costs incurred during that month, but only for phases of the project or individual map sheets which have been completed. No invoice~ will be submitted for partially completed work. H. Ownership of Documents: All maps, tracings, manuscripts or other ,documents required to be prepared by the Consultant under this agreement shall become the property of the Owner upon payment to the Consultant of all amounts due under terms of this agreement. I. The City of Ashland, Oregon shall be the owner of all copyrights and data. J. Permits and Regulations: Permits and licenses necessary for the prosecution of the work shall be secured and paid for by the Consultant. The Consultant shall comply with all laws and regulations bearing on the qonduct of the work. K. Access to Work: The Consultant shall permit and facilitate observation of the work by the Owner at any time during normal working hours. L. Changes In Work: The Owner may order changes In the work, the contract amount being adjusted as mutually agreed upon, in writing, by both parties. All such orders and agreements shall be In writing. M. Indemnity: The Consultant covenants and agrees that he will Indemnify and hold harmless the Owner and any and all of the Owners agents or employees from any loss, damage, cost, charge or expense whether direct or Indirect and whether to persons or property, thru any action or neglect on the part of the Consultant or Consultants subcontractor. N. Consultants Liability Insurance: Consultant agrees to carry professional and general liability insurance to cover the subject work proposed, and to furnish certificates of Insurance to Owner. - 2 - ,-- Professional Services Agreement Page 3 O. Termi nat Ion: This contract may be terminated by the Owner upon written notice. In the event of such termination, the Consultant shall immediately discontinue any and all work and shall be paid by the Owner for all work performed prior to termination. Q. Time of Completion: The expiration date of this agreement shall be June 30, 1982. R. Extension of Time: The Owner agrees that If It is found that the InabIlity of the Consultant to fulfill the conditions of the Scope of Services Is due to unforeseeable cause beyond the control and without fault or neglIgence of the Consultant, IncludIng but not lImIted to the acts of God, fire, flood, weather, embargos, strIkes, walkouts, accidents and the like, an extension of the time limIt wIll be granted. S. Final Payment: Final payment will be made followIng acceptance by the Owner of all maps and photo- graphs produced under this agreement and upon presentation of a properly executed statement. Such acceptance and payment by the Owner cannot be unreasonably withheld. T. Delinquent Payment: Any payment due from the Owner to Consultant for a period of 30 days followIng Owners acceptance and presentation of statement as provided In the paragraph immediately preceeding shall be considered delinquent. u. Carrying Charges: A carrying charge shall be imposed upon all delinquent balances at the rate of Ii percent per month (annual rate of 18% per annum) and any charges so imposed shall be paid in-addition to the delinquent balance by owner. - 3 - Professional Services Agreement Page 4 V. Attorney's Fees: Del inquent balances may at the sole discretion of Consultant be placed in the hands of an attorney for collection. Owner shall pay Consultant's reasonable attorney's fees and collection costs, even though no suit or action Is filed thereon anft if suit or action is filed the amount of such reasonable attorney's fees shall be fixed by the court, or courts, in which the suit or action, Including any appeal thereon is tried, heard or decided. '-7 e , ByXa;;0L~~ ~.~ ~~f ~ ~~t~' ~ - 4 - " PROJECT DESCRIPTION This project is the preparation of 1"=100' scale topographic maps prepared by photogrammetric methods from existing aerial photography flown for the OWNER by the CONSULTANT in 1979. These aerial negatives are held In trust for the OWNER at the CONSULTANT'S office in Eugene. · The area to be mapped in generally the City of Ashland comprehensive planning and urban service boundary as shown on the project map, Attachment C. Priorities as to sequence of map production are to be set by the OWNER. Primary horizontal and vertical map control surveys are existing, and identified on the aerial photos. Supplemental horizontal map control will be established on the aerial photos using photogrammetric methods and computer computations. Secondary vertical map control surveys will be provided by the OWNER at the direction of the CONSULTANT. Final maps will be submitted as mylar manuscripts In sheets approximately 30" x 42" and oriented by stereophotopairs, one map sheet for each photo pair. SCOPE OF SERVICES 1 - Analyze the existing primary map control ,and design additional map control surveys as may be required for topographic map compilation. Perform semi- analytical control bridging the primary field control to develop supplemental horizontal picture point coordinates. 2 - Provide supe~vision and trainIng to CIty of Ashland survey personnel In methods and proceedures of location and photo IdentifIcation of vertical picture po i nt contro 1. 3 - Compile 1"=190' scale 5 foot contour interval topographic maps covering the mapping area as shown on the Project Map and as described in the Specifications. 4 - Provide consulting, planning, supervision and Incidental services as the project may require. ATTACHMENT - A - 5 - ~,---- SPECIFICATIONS 1 - Map Control: Make use of existing horizontal and vertical surveys by Chickering-Green Empire, Inc. Additional control as may be required shall be tied to and extended from the existing control network, maintaining 2nd order horizontal accuracy and 3rd order ve~tical accuracy. All control surveys shall be based on the Oregon State Coordinate System, South Zone and Mean Sea Level datum. 2 - Topographic Mapping: (a) Map compilation shall be by photogrammetric methods from existing 1979 aerial photos. Map scale shall be 111=100' with 5 foot interval basic contours and supplemental 1/2 interval contours on slopes less than 5 per cent. (b) Grid I ines of the Oregon State Coordinate System (South Zone) shall be on the finished maps. Spacing of these lines shall be 1000 feet (10 inches). (c) The maps shall contain all planimetric features which are visible or inter- pretable from the aerial photography, including land use features, as buildings, ditches, reserv9irs, roads, railroads, cemeteries, orchards, the trace of tele- phone and power lines and their poles and towers, fence I ines and similar details of land use. Structures such as bridges, substations, storage tanks and the like shall also be shown. Curbs and curb cuts on city streets shall be shown If identifiable on the aerial photos. Such features as private driveways, private walkways, ornamental trees and shrubs on residential lots and the like will be omitted from the maps. (d) Contours at 5 foot intervals shall be plotted and within accuracy require- ments, shall be del ineated to represent true elevation above mean sea level and the exact shape of the ground. In areas where the ground slope is 5 per cent or less (111 spacing between contours), then 1/2 Interval supplemental contours will be shown by a short dashed line symbol and labeled. In addition to contours, spot elevations determined photogrammetrically shall be shown on the maps in proper position on hill tops, in saddles, at the bottom of depressions, at the intersections of well traveled roads and streets. In areas where the contours are more than 3 in~hes apart at map scale, spot elevations shall also be shown and the horizontal distance between the contours and such spot elevations or between the spot elevations shall not exceed 2 inches at scale of the final maps. ATTACHMENT - B - 6 - --,._- 3 - Finished Maps: The finished maps shall be in the form of well drawn pencil manuscripts on mylar reproducible film. The sheet orientation will conform to the stereo photo pairs, each pair compiled on a separate sheet approximately 3011 x 4211. Each sheet. will have a title block in the lower right corner, with a north arrow, and will have match notes to adjoining sheets. 4 - Map Accuracy: (a) Contours - Ni,nety (90) percent of the elevations determined from the sol id- 1 ine contours of the topographic maps shall have an accuracy with respect to true elevation of one-half (1/2) contour interval or better and the remaining ten (10) percent of such elevations shall be not in error by more than one contour interval. This accuracy shall apply only to the contours which are on each map. Thus, In each particular area where the intermediate contours have had to be omitted because of the steepness of the ground slopes and only the index contours are delineated on the maps, the accuracy stipulations apply to the contour intervalpf the index contours. Wherever the intermediate contours are not omitted, of course, the accuracies are applicable to the contour interval specified for the topographic maps. In densely wooded areas where heavy brush or tree cover fully obscures the ground and the oontour$ are shown as dashed lines, they shall be plotted as accurately as possible from the stereoscopic model, while making full use of spot elevations obtained durlnsground control surveys and all spot elevations measured photogrammetrically In places where the ground Is visible. (b) Planimetric Features - Ninety (90) percent of all planimetric features which are well defined on the photographs shall be plotted so that their position on the finished maps shall be accurate to within at least one-fortieth (1/40) of an inch of their true coordinate position, as determined by the test surveys, and none of the features tested shall be misplaced on the finished map by more than one-twentieth (1/20) of an Inch from their true coordinate position. The true coordinate position shall be determined by making accurate measurements originating and closing on statIon markers of the project basic control survey, which shall have a closure accuracy conforming with the requirements for the basic control. ATTACHMENT - B (~ont'd) - 7 - ~I'- (c) Spot Elevations - Ninety (90) percent of all spot elevations placed on the maps shall have an accuracy of at least one-fourth (1/4) the contour interval, and the remaining ten (10) percent shall be not in error by more than one-half (1/2) the contour interval. .
