The following information applies to this contract: CITY: CITY OF ASHLAND Consultant: WBGS ARCHITECTURE & PLANNING City Hall Address: 72 WEST BROADWAY 20 E. Contracting officer: Ann Seltzer, Communications Management Analyst ~2.4. Project: Architectural Services for the City Council Chambers ~6. Consultant's representative: Eric L. Gunderson, AlA CSI, Principal ~8.3. Maximum contract amount: NTE $30,000.00 B. On the date noted above, City issued a request for proposals (RFP) for consulting services needed by City for the project described above. Consultant submitted a proposal in response to the RFP on the date noted above. C. After reviewing Consultant's proposal and proposals submitted by other offerors, City selected Consultant to provide the services covered by the RFP. City and Consultant agree as follows: 1. Relationship between City and Consultant: Consultant accepts the relationship of trust and confidence established between Consultant and City by this contract. Consultant covenants with the City to perform services and duties in conformance to and consistent with the standards generally recognized as being employed by professionals of consultant's caliber in the locality of the project. Consultant further covenants to cooperate with City, City's representatives, contractors, and other interested parties in furthering the interests of City with respect to the project. In order to promote successful completion of the project in an expeditious and economical manner, Consultant shall provide professional consulting services for City in all phases of the project to which this contract applies, serve as City's professional consulting representative for the project, and give professional consultation and advice during the term of this contract. Consultant acknowledges that City is relying on consultant to provide professional consulting services in a manner that is consistent with the interests of City. 2. Definitions: Generally words, terms and phrases used in this contract shall have the meaning ascribed to them in the construction industry, unless the context clearly indicates otherwise. As used in this contract: 2.1. "City" means the City of Ashland, Oregon. 2.2. "Contracting officer" means the person specified in Recital A above or that person's designee. "Work" or "Services" shall mean all labor, materials, plans, specifications, opinions, reports, and other consulting services and products which Consultant is required to provide under this contract. 3. Term: The term of this contract shall commence on the date specified in Recital A above and end on completion of all services required by this contract unless sooner terminated as provided in this contract. 4. Authoritv of contractino Officer: The contracting officer shall have the authority to act on behalf of City in the administration and interpretation of this contract. The contracting officer shall have complete authority to authorize services, transmit instructions, receive information, interpret and define City's policies and make other decisions with respect to Consultant's services. 5. Consultino Services: Consultant shall provide services to City that are described in the RFP. 5.1. In connection with the services described in the RFP, Consultant shall: 5.1.1. Consult appropriate representatives of City to clarify and define City's requirements relative to the services. 5.1.2. Review available data relative to the services. 5.1.3. Identify data which is not available and is needed to fulfill the services, and act as City's representative in obtaining such data. 5.1.4. Prepare monthly progress reports to the contracting Officer on the status of services. 5.1.5. Cooperate with other consultants retained by City in the exchange of information needed for completion of the services and the project. 5.2. Consultant shall commence performance of services within five days after receiving written authorization from the contracting officer for work described in the RFP. Consultant shall perform the services as expeditiously as is consistent with professional skill and care and the orderly progress of the project. Upon request of City, Consultant shall submit for City's approval, a schedule for the performance of work elements described in the RFP. Each schedule shall include allowance for periods of time required for City's review and approval of Consultant's services. Each schedule, approved by City, shall become a part of this contract. 5.3. Consultant shall perform the services as an independent contractor in accordance with generally accepted standards in Consultant's profession. Consultant shall be responsible for the professional quality, technical accuracy and the coordination of all services performed by Consultant. Consultant shall, without additional compensation, correct or revise any error or deficiencies in the services that are caused by Consultant's negligence. City's review, approval, acceptance of, or payment for, any of the services shall not be construed to waive any of City's rights under this contract or of any cause of action arising out of Consultant's services. In the event of any breach of this contract by Consultant or negligent performance of any of the services, City's cause of action against Consultant shall not be deemed to accrue until City discovers such breach or negligence, or should have, with reasonable diligence, discovered such breach or negligence. The preceding sentence shall not be construed, however, to allow City to prosecute an action against Consultant beyond the maximum time limitation provided by Oregon law. 6. Assionment of Consultant's Personnel: 6.1. The services covered by this contract shall be rendered by, or under the supervision of the person specified in Recital A above, who shall act as Consultant's representative in all communications and transactions with City. 6.2. Consultant will endeavor to honor reasonable specific requests of City with regard to assignment of Consultant's employees to perform services if the requests are consistent with sound business and professional practices. 7. Responsibilities of City: 7.1. City will cooperate fully with Consultant to achieve the objectives of this contract. City will provide information, documents, materials and services that are within the possession or control of City and are required by Consultant for performance of the services. 7.3. City will arrange for access to, and make all provisions for Consultant to enter upon, public and private property as required for Consultant to perform the services. 7.4. City will provide all permits necessary for completion of the project. 7.5. The contracting officer will act as liaison between City, Consultant, public agencies, and others involved in the project. 8. Payment: 8.1. City shall pay Consultant for services and reimburse Consultant for expenses incurred by Consultant in performance of services in accordance with a payment schedule to be submitted by Consultant and accepted by City. No reimbursement will be made for expenses that are not specifically itemized in this payment schedule without prior approval by the contracting officer. 8.2. Consultant shall submit monthly invoices to City for Consultant's services within ten days after the end of the month covered by the invoice. 8.3. Total payments under this contract or any amendments shall not exceed the sum specified in Recital A above. 9. Compliance with Law: 9.1. This contract will be governed by and construed in accordance with laws of the State of Oregon. Consultant shall promptly observe and comply with all present and future laws, orders, regulations, rules and ordinances of federal, state, City and city governments with respect to the services including, but not limited to, provisions of ORS 279C.505, 279C.515, 279C.520 and 279C.530. 9.2. Pursuant to ORS 279C.520(2) any person employed by Consultant who performs work under this contract shall be paid at least time and a half pay for all overtime in excess of 40 hours in anyone week, except for persons who are excluded or exempt from overtime pay under ORS 653.010 to 653.261 or under 29 U.S.C. Sections 201 to 209. 9.3. Consultant is a "subject employer" as defined in ORS 656.005 and shall comply with ORS 656.017. Prior to commencing any work, Consultant shall certify to City that Consultant has workers' compensation coverage required by ORS Chapter 656. If Consultant is a carrier insured employer, Consultant shall provide City with a certificate of insurance. If Consultant is a self-insured employer, Consultant shall provide City with a certification from the Oregon Department of Insurance and Finance as evidence of Consultant's status. 9.4. If the amount of this contract is $15,964.00 or more, Consultant is required to comply with chapter 3.12 of the Ashland Municipal Code by paying a living wage, as defined in this chapter, to all employees performing work under this contract and to any subcontractor who performs 50% or more of the service work under this contract. Consultant is also required to post the attached notice predominantly in areas where it will be seen by all employees. 10. Ownership of Documents: All documents prepared by Consultant pursuant to this contract shall be the property of City. To the extent permitted by law, City shall, within the limits of the Oregon Tort Claims Act, defend, indemnify and hold harmless Consultant, its consultants, agents and employees against all damages, claims, expenses and losses arising out of any reuse of plans, specifications and other documents prepared by Consultant without prior written authorization of Consultant. 11. Records: 11.1. Consultant shall develop and maintain complete books of account and other records on the services which are adequate for evaluating Consultant's performance. Consultant shall maintain records in such a manner as to provide a clear distinction between the expenditures and revenues related to the project and the expenditures and revenues related to Consultant's other business. Consultant's books and records shall be made available for inspection by City at reasonable times, to verify Consultant's compliance with this contract. City shall have the right to request an audit of Consultant's books and records by a certified public accountant retained by City. 12. Indemnification: Consultant shall defend, indemnify and save City, its officers, agents, and employees harmless from any and all claims, actions, costs, judgments, damages or other expenses resulting from injury to any person (including injury resulting in death), or damage to property (including loss or destruction), of whatsoever nature arising out of or incident to the negligent performance of this contract by Consultant (including but not limited to, the negligent acts or omissions of Consultant's employees, agents, and others designated by Consultant to perform work or services attendant to this contract). Consultant shall not be held responsible for any claims, actions, costs, judgments, damages or other expenses, directly and proximately caused by the negligence of City. 13. Insurance: 13.1. Consultant shall, at its own expense, at all times during the term of this contract, maintain in force: 13.1.1. A comprehensive general liability policy including coverage for contractual liability for obligations assumed under this contract, blanket contractual liability, products and completed operations and owner's and contractor's protective insurance; 13.1.2. A professional errors and omissions liability policy; and 13.1.3. A comprehensive automobile liability policy including owned and non-owned automobiles. 13.2. The coverage under each liability insurance policy shall be equal to or greater than the limits for claims made under the Oregon Tort Claims Act with minimum coverage of $500,000 per occurrence (combined single limit for bodily injury and property damage claims) or $500,000 per occurrence for bodily injury and $100,000 per occurrence for property damage. 13.3. Liability coverage shall be provided on an "occurrence" basis. "Claims made" coverage will not be acceptable, except for the coverage required by subsection 13.1.2. 13.4. Contractor shall submit certificates of insurance acceptable to the City with the signed contract prior to the commencement of any work under this agreement. Each certificate shall state that coverage afforded under the policy cannot be cancelled or reduced in coverage cannot be made until at least 30 days prior written notice has been given to City. A certificate which states merely that the issuing company "will endeavor to mail" written notice is unacceptable. 14. Default: 14.1. There shall be a default under this contract if either party fails to perform any act or obligation required by this contract within ten days after the other party gives written notice specifying the nature of the breach with reasonable particularity. If the breach specified in the notice is of such a nature that it cannot be completely cured within the ten day period, no default shall occur if the party receiving the notice begins performance of the act or obligation within the ten day period and thereafter proceeds with reasonable diligence and in good faith to effect the remedy as soon as practicable. 14.2. Notwithstanding subsection 14.1, either party may declare a default by written notice to the other party, without allowing an opportunity to cure, if the other party repeatedly breaches the terms of this contract. 14.3. If a default occurs, the party injured by the default may elect to terminate this contract and pursue any equitable or legal rights and remedies available under Oregon law. All remedies shall be cumulative. 14.4. Any litigation arising out of this contract shall be conducted in Circuit Court of the State of Oregon for Jackson County. 15. Termination without Cause: 15.1. In addition to the right to terminate this contract under subsection 14.3, City may terminate by giving Consultant written notice sixty days prior to the termination date. In addition to the right to terminate this contract under subsection 14.3, Consultant may complete such analyses and records as may be necessary to place its files in order and, where considered necessary to protect its professional reputation, to complete a report on the services performed to date of termination. 15.3. If City terminates the contract under subsection 15.2, Consultant shall be paid for all fees earned and costs incurred prior to the termination date. Consultant shall not be entitled to compensation for lost profits. 16. Notices: Any notice required to be given under this contract or any notice required to be given by law shall be in writing and may be given by personal delivery or by registered or certified mail, or by any other manner prescribed by law. 16.1. Notices to City shall be addressed to the contracting officer at the address provided for the City in Recital A above. 16.2. Notices to Consultant shall be addressed to the Consultant's representative at the address provided for the Consultant in Recital A above. 17. Assianment: City and Consultant and the respective successors, administrators, assigns and legal representatives of each are bound by this contract to the other party and to the partners, successors, administrators, assigns and legal representatives of the other party. Consultant shall not assign or subcontract Consultant's rights or obligations under this contract without prior written consent of City. Except as stated in this section, nothing in this contract shall be construed to give any rights or benefits to anyone other than City and Consultant. 18. We enjoyed meeting with Ann Seltzer who was good enough to give us a tour and to share her understanding of the issues involved. Ashland is unique. It has a national reputation as an arts center and for the special character of its downtown. Participation in government is taken seriously by citizens and council. The council chamber is the focal point of an active community. We believe the WBGS team offers the right understanding and skill for both Phase 1 and 2 of the project. A summary of strengths is provided below. Understanding The project needs a firm able to work well with the community. We focus on developing confidence with the council and public. We recently facilitated the Mayor's Civic Center Planning Committee for Eugene. The project must fit Ashland's unique character. WBGS believes that inspired solutions originate from a deep understanding of people, place, and time. Capabilities & Resources WBGS is experienced with city council chambers in comparable communities including Talent, Newport, and Eugene. Two of our city council chamber projects have been renovations involving lighting, seating, and AV systems. In addition, we have completed numerous planning projects for civic centers, police, public works and electric utilities applicable to Phase 2 of your project. Many of our projects have been completed with the same team of consultants for AV, Lighting, and Cost Estimating. Each of these capabilities is directly applicable to the City of Ashland. Staff Commitment & Schedule WBGS commits a Leader, Advisor, and Manager to each project. Eric, Curt, and Tricia are all experienced architects with civic buildings and council chambers in particular. Our staff is available to meet your schedule. Cost We have proposed fees to complete the full scope of work under Phase 1. We suggest a series of workshops in Ashland to efficiently understand your needs and to explore solutions. The proposal which follows provides detailed information regarding each of the areas requested in the RFP. We look forward to the opportunity to meet with you and discuss the project further. Eric L. Gunderson, AlA CSI Principal, WBGS 1 Project Description and Understanding 1 1 We are excited about the City of Ashland project. The strategy of working in two phases offers the benefit of short term results and longer vision. Phase 1 focuses on low impact measures with achievable benefits allowing a more global long term view under Phase 2. Based on the RFP and a visit to the site with city staff, we have been able to learn about many of the issues raised by the city. Our primary task is to fully understand the City's goals and help design solutions for the future. 1 ] The council chamber is used by many groups including Rotary, municipal courts, planning commission, emergency operations center, community groups, and others. Rogue Valley TV uses equipment and occupies a cramped control room in a former storage room. The room must be flexible to adapt to a variety of activities. The current room is cramped for large groups and is poorly proportioned for the interaction of participants. The current lighting system creates a sense of a low ceiling despite the higher vaulted roof above. Overflow crowds often must use an exterior porch listening by remote speakers. The current city council table arrangement is formal and creates a high degree of separation between council members and the community. In addition, it is difficult for councilors to see each other and it is difficult for everyone to see the projection screen. There is, a need to integrate the function design of the room with the AV systems. Concerns about the number of people in the room have been raised by the Fire Marshal. The City wishes all of these issues to be explored in 2 phases. J 1 1 In Phase 1 the design team and city would work together to identify short term enhancements which could be completed within reasonable time and budget. We have assumed that this phase would include improvements to the interior of the space but would stop short of the major and expensive step of expanding the building. Phase 1 should include achievable goals through the year 2015. WBGS places a high value on sustainable architecture. Our experience allows us to help you select meaningful sustainable measures such as day lighting, natural ventila- tion, solar shading, building materials wit recycled content and solar power for hot water and power generation. 1 1 The council chamber is located on East Main St. some distance from the City Hall near the main town square and Uthia Park. The East Main site is home to Police, Courts, Public Works, the Municipal Electrical Utility, a community meeting center known as the Grove and the council chamber. A broader exploration of the optimal arrangement of city facilities through the year 2035 is the focus of Phase 2. It is during this stage that designs for an optimal city council chamber is sought. The City has not yet decided to pursue this later phase. The WBGS team has included additional expertise in structural, cMI, and mechanical engineering if needed by the City. We are experienced in developing facilities evaluations and recommendations for diverse departments. 1 1 1, In either Phase 1 or 2, working closely with city councilors and involving the publiC are important to broader sup- port within the community. WBGS is experienced with public boards and councils. We understand that elected representatives face numerous decisions points with limited information and only a brief time for dialogue. It is important to provide concise, accurate information in a way which properly frames issues. Project Start: Set up contracts, management structures and communications so that the work is completed smoothly. It is important for us to fully understand your expectations and goals. Comply with requirements for Ash- land business license, insurance, and IMng wage. Develop plan for public involvement. Assignment: WBGS lead. 2. Information Gathering and Building Evaluation: Obtain available information from city staff with regard to existing buildings and previous planning work. Some copies of drawings have been provided by Dale Pe- ters. Visit the building to evaluate deferred maintenance, code issues, accessibility, functional shortcomings, and opportuni- ties to improve the environment. Contact the building permit and land use planning departments. Prepare a summary of condi- tions needing action. Assignment: WBGS lead. Format: Visit to Ashland concurrent with Program workshop below. 3. Program: Develop a description of building needs cur- rently and through the year 2015. Interview city staff representing courts, police, city council, facilities, RVTV, data/communica- tions, EOC, planning commission and com- munity groups (such as Rotary). Establish goals for budget, sustainability, building life, Mure growth, and specific requirement for each type of activity. Develop understand- ing philosophy of city government and community interaction. In addition, define needs for building systems such as lighting, AV, data/communications, seating, sound systems, etc. Prepare a program describing projects goals, space needs, and building systems. Lead a discussion of goals for sustainability. Assist city staff in prioritizing improvements. WBGS Architecture & Planning, PC Assignment: WBGS lead with support by Lighting Designer and AV Consultant. Format: Complete program interviews during a 2 day workshop in Ashland with consultant team members. 4. Conceptual Design: Based on the completed program and background information develop conceptual designs for short term, affordable, improve- ments. Prepare preliminary designs in a workshop setting in Ashland with consultant team members and city representatives. The workshop setting is an efficient way to focus the time of a diverse team and to in- clude the city in an informal design process. The final project in this relocation master plan was to convert the old school building for use as a City Hall. The building now contains offices for City Departments, The Council Cham- ber, and the Police Department. The City wanted a warm and inviting interior to welcome visitors and residents. This goal was accomplished by using light colored wood, natural slate flooring in the lobby, open and wide corridors, and a gen- erous lobby space. Each department has their own separate color scheme to help create a sense of departmental identity to the staff and visitors. The Council Chamber is equipped with a full audio-visual system that includes computer plug-ins for the council, staff, and present- ers. Two projectors and screens provide excellent audio-visual coverage for the councilors and the audience. Built -in light- ing pennits full television coverage. The Council Chamber is designed to seat 45 visitors in the audience. An adjacent conference roorn wall can be opened to the council chamber to accommodate spill-over visitors. The City Govemment, however, currently operates out of a concrete block building built by Citizen volunteers in the mid 1960s. As the needs of the city have grown a need for a larger, more recognizable Civic Center has been recognized. The City of Talent hired WBGS to master plan the area around the current City Hall and design a Civic Center which could house city services, a Council Chamber and public meeting spaces. After Programming and Schematic Design were complete, funding was secured by the Tal- ent Urban Renewal Agency to construct the first phase of the project; City Hall. The Tal- ent Urban Renewal Agency retained WBGS to complete phase one through construc- tion. Services began with site selection and programming and ended with preparation of a facility maintenance sched- ule. Design and construction was divided into 4 separate packages. The project includes a 40,000 sf mainte- nance building, parking and fueling for up to 160 buses, 22,000 sf office building and training facilities. Site work required 8 acres of concrete paving in addition to security, and landscaping for a total of 13 acres. Natural light, durable materials, and functional excellence are key features of this headquarters complex. The use of wood in a modest, northwest contemporary style is represented in the photographs of the conference room. The client committee was interested in spaces designed with economy in mind while at the same time creating spaces that will have long-term functional and aesthetic value. This is accomplished by using relatively inexpensive materials in creative, yet simple and timeless ways, thus allowing for the spaces to age gracefully. , i , ~ I I I I I Relevance · The LTD Headquarters is one of many service center projects completed by WBGS. It is included with the understanding that the City of Ashland may exercise Phase 2 services encompassing a larger evaluation of the East Main Street site. It is the location for public county commissioner's meetings and other signifi- cant public events. The room provides a combination of fixed seating, loose seating, and standing room for 300 people. 1 ] WBGS was asked to design a new ceil- ing system for Harris Hall when the original acoustic tile system failed. In addition to the ceiling, upgrades to the room's acous- tics, lighting system, controls system, and audio visual systems were desired. With a budget of $250,000, the scope of the project includes a curved wooden slat ceil- ing suspended beneath a new acoustic tile ] ] :J :1 City of Eugene Eugene Civic Center Planning Eugene, Oregon J WBGS helped the City of Eugene develop a vision of how a city hall could become the focus of downtown redevelopment and collaboration among multiple govemmental and community agencies. Uke Ashland, Eugene is a town founded on a university and the arts. Such an atmosphere sup- ports of culture of string opinion and access to government. Connection of the center of government with the center of arts center of community, and to business is a unique characteristic. ] :l :1 =1 WBGS organized and facilitated a public design charette. The 2-day charette at- tracted 74 participants including local AlA members, Downtown Neighborhood, downtown business groups, the University of Oregon Department of Architecture, city staff and private citizens. Ten teams devel- oped alternative solutions that were sub- sequently summarized on a city web page and in printed form. Results were presented =1 =l ~ J ceiling and sound reflector. The slat ceiling accommodates a new lighting system that provides general lighting and special illumina- tion for TV broadcasts of public events. Two centralized control stations operate the lighting system and the operation of two projection screens. The audio speakers are being replaced, and new carpet is being provided. As the budget did not allow for all of the county's planned upgrades, provisions for Mure changes were included in the design. The project is currently under construction and will be complete January 2nd, 2006. to city council. The charette was a subject of a presentation to the 2004 State of Oregon AlA Design Conference. The charette led the mayor to appoint a committee representing local govemments and citizens to further develop a Civic Center Vision. WBGS assisted the committee by summarizing charette findings, preparing a program for various partnerships, developing alternatives, and preparing final design principles and an illustra- tive plan. WBGS assigns a Leader, Advisor and Manager to each project. Please note that detailed resumes for each individual are provided in the appendix of this proposal. This includes com- munications with the client, development of agreements, assignment of staff, understanding the city's goals, and design quality. Eric has 32 years of architectural experience and is a principal at WBGS. His work includes a wide range of civic projects. I I Advisor: Curt Wilson AJA Uke the Leader, an Advisor is also a principal architect. The Advisor' task is to support the Leader. For the Ash- land Council Chamber project, the Advisor would help with initial project start up reviewing contracts, establishing the schedule, and coordinating the work of consultants. The Advisor provides reviews of the key milestones of the project such as the completed program, design, and cost estimate. This second set of eyes is invaluable to the quality of the work. Curt Wilson is currently working in Talent and Roseburg. He is highly organized and has extensive experience with civic projects for fire, police, and 911. I I Manager: Tricia Berg AJA LEED The Manager oversees the day to day production of the project. She works closely with the Leader and consultant team to coordinate project elements, see that work proceeds on schedule and direct additional production staff as needed. The Manager, more than any other person grasps the project from the details to the big picture. It is hard to imagine anyone better qualified than Tricia Berg as Manager of the Ashland project. Tricia has worked on the renovation of 2 previous council chamber projects. She is LEED Accredited indicating her special training in the design of sustainable buildings. Tricia is a skilled manager with commitment to the success of her projects. I I In addition to WBGS leadership, a team of highly qualities individuals guide specialized areas such as lighting design, AV systems, and cost estimating. Undsey McGill of Spectrum Systems, Greg Hansen of BHE, and Steve Gunn of Construction Focus have all worked with WBGS previously. Undsey has designed AV systems for a wide variety of council chambers in the past including the new Hillsborough City Hall, Portland City Hall, and all of the council chambers work by WBGS. Greg Hansen is talented lighting designer experienced with the specialized needs of TV recording, integration with AV systems, and lighting which enhances the character of public spaces. The crucial task of estimating construction cost will be led by Steve Gunn of Construction Focus. Steve's back- ground is in construction. He is able to balance the need for detail with the conceptual information available in the early stages of a project.
