LICENSE TO USE CITY OF ASHLAND PROPERTY FOR STORM DRAINAGE
1. Grant of Personal License. The above named Licensor permits Stephen & Melanie LLC,
an Oregon limited liability company, "Licensee," a personal, revocable, non-exclusive,
temporary privilege to construct, reconstruct, install, use, operate, inspect, repair,
maintain, and remove and replace a connection to the existing thirty inch storm drain
(including stubbing and trenching and patching pavement) on real property described as
Exhibit A and further referred in this license agreement as the "license area."
The license area is located in Jackson County, Oregon, and is described as follows:
See attached Exhibit A. The actual area that the Licensee has privilege to access
is legally described by a licensed surveyor in Exhibit B entitled "storm drainage
license." The license is depicted in the attached Exhibit C (encircled), and is
appurtenant to the real property as described in the attached Exhibit D.
2. Use of the License Area. Licensor, its successors and assigns, shall have the right to use
the license area for all purposes not inconsistent with the uses and purposes of the license
by the Licensee.
3. Transferability of License. Licensee may transfer this license to a Homeowner's
Association (HOA), contingent upon the HOA assuming all terms and responsibilities of
this License. Whenever the term "Licensee" is used in this License, it shall mean the
HOA that is created subsequent to completion of the development of the condominium
project. Once the HOA is created, and this License is transferred to such HOA, this
License shall not be transferable unless permission to transfer is granted by the Licensor.
4. Licensor's Right to Revoke License. This license is personal only to the Licensee (and
the subsequently organized HOA) and is not a grant of a permanent easement, lease or
profit. This license is a privilege given by the Licensor to the Licensee for the temporary
convenience of the Licensee and is revocable. No successors or assigns (other than the
HOA) ofthe real property described in Exhibit D shall have any right or privilege to use
the license area, unless such successor or assign independently receives a license from the

Licensor, which privilege may be granted or withheld at the sole discretion of the
Licensor. No consideration was given or received for this license. This license is not an
easement and may not be considered an easement by estoppel. This license is revocable
by the Licensor for any reason and at any time. Licensee assumes the risk that Licensor
may, at any time, revoke this license for any reason. Such purposes may include, but are
not limited to, the sale or lease of the license area, or the construction or placement of
buildings or structures, permanent or temporary in nature, upon the license area. All
costs associated with the use of this license by the Licensee are to be borne by the
Licensee, and Licensor makes no representation, oral or written, about the length of time
that Licensee may use the license area. Licensee has no possessory estate or interest in
the license area and may use the license area until revoked.
5. Notice ofIntent to Revoke. Licensor shall provide Licensee at least ninety (90) days
written notice of Licensor's intent to revoke this license. Licensor has no duty to justify
the intent to revoke. Licensor may require Licensee to remove any storm drainage
facilities installed by Licensee without cost to the Licensor.
6. Access to License Area. Licensee, it agents, independent contractors and invitees shall
have the privilege of ingress and egress to the license area for the purposes connected
with this license.
7. Notice. Licensee, it agents, independent contractors and invitees shall upon every
occasion that such construction facilities are maintained, replaced, reconstructed, or
removed, provide Licensee reasonable notice and restore the premises of the Licensor,
and any buildings or improvements disturbed by grantee, as near practicable.
