RETAINER
The City of Ashland ("client") hereby hires the law firm of Hoffman, Hart & Wagner,
LLP as client's attorneys and shall pay the agreed rate per hour for the services of Karen
O'Kasey, or other lawyers' services. Client agrees that the firm may use legal assistants for
appropriate services. Client understands that the firm will represent client in a case filed in U.S.
District Court for the District of Oregon entitled American Buddha v. The City of Ashland and
Washington Post Company.
The fee for legal services on behalf of client shall be billed at the rate of $175.00 per hour
for Karen O'Kasey's time, applicable rates for other attorney time and $85 per hour for legal
assistant time, plus any out-of-pocket expenses and costs incurred. Our firm estimates that the
fees in this case will not exceed $25,000. Should this estimate need to be adjusted in the future,
client will be notified and a revised budget will be submitted. If the fees reach $25,000, the
parties agree that they will negotiate future work beyond the $25,000 by Hoffman Hart &
Wagner, and if agreement can't be reached, the parties agree that this contract will be terminated
and no liability beyond $25,000 will accrue to client.
Billings will be paid on a monthly basis. Hoffman, Hart & Wagner, LLP may terminate
services and withdraw from representation if payments are not kept current.
All amounts on this account remaining unpaid for more than 30 days afer invoicing will
be subject to a late payment charge.
Client agrees to pay all expense incurred in connection with collecting amounts owed on
this matter. Client is obligated to pay such collection expenses in addition to costs and
disbursements allowed by law and includes fees and expenses on any appeal. Collection
expenses include attorneys fees and expenses, which may also include those of Hoffman, Hart &
Wagner, LLP.
Hoffman, Hart & Wagner, LLP will have the right to assert any liens permitted by statute.
All work product will remain the property of Hoffman, Hart & Wagner, LLP.
