A full cleaning study requires 5 cleaning trials after completion of Fiber Condition Analysis. Legal Name: ZENON Environmental Corporation is the nome of the legal entity providing services and or ports and is on offiliote of GE Water & Process Technologies Canada. Purchase Orders and Checks should be made out using the name ZENON Environmental Corporation. Brand Name: Our brand nome is GE Water & Process Technologies. ZENON Membrane Solutions Short Form: Where 0 short reference nome is required for convenience in this document, the nome GE Water will be used. 7.2 Payment Terms ZenoTracTH fees will be invoiced quarterly in advance of thE' service (leonina & Process Optimization studies, ond Flux Optimization studies will be invoiced after a service is completed. All payments must be settled within thirty (30) days from date of receipt of invoice. Past due balances will be subject to a service charge of 11/2% per month 118% per annuml, but not more than the amount allowed by law. GE Wate!r may delay delivery of parts or services in the event of an arrearage in Client account with GE Water. 7.3 Freight Freight 'IS extra where applicable and will be added to the invoice. 7.4 Taxes Sales taxes, use taxes, goods and services taxes, surcharges and all other taxes are extra where applicable. GE Water requests of Client to provide applicable tax exemption certificates prior to invoicing and as required to remain Lip-to date. 7.5 Validity Prices quoted are valid up to thirty (30) days after the dote of issue of the proposal unless confirmed with a Purchase Order. 7.6 Performa nee GE Water will make all reasonable effort to deliver parts and services as agreed. GE Water will not be liable in any way for a delay in performance due to causes beyond its control. including, without limitation: strike: lockout; riot; war; acts of terrorism; fire; act of God; occident; failure or breakdown of components; or application of 0 law, regulation or order, whether valid or invalid, of any governmental body. The furnishing by GE Water of 0 port or service to Client will constitute acceptance of that port or service by Client, unless notice of non-acceptance is received by GE Water within1S days of receipt. 7.7 NoTitle At no time will GE Water be deemed to hove token title to Effluent Water,lnfluent Water, sewage sludge, Non-standard Substances, Hazardous Materials, or any other materials or substances processed at the site or treated by GE Woter pursuant to this Agreement. GE Water does not take responsibility for or provide waste characterization, disposed facility selection, or disposal. The Client is responsible for all wastes and waste disposal from the plant. Wastes may include, but are not limited to water system reject waste, used RO or ultrafiltration membranes, clean-in-place related wastes and wastewaters, spent media, used granulated activated carbon, cartridge filters, equipment and consumables,lubrication/Oil contaminated debris/rags, other maintenance related wastes, lob analysis residuals, and office waste. 7.8 Damages And Liability GE Water will defend, indemnify, release and save harmless Client, its officers, employees and agents, from and against 011 third party claims for loss, injury, sickness, disease, death, property damage, actions, suits, costs or proceedings and Ashland @GE 201931 September 6, 2007 Pal~e 5 of 6 Water & Process Technologies ZENON Membrane Solutions . reasonable legal expenses resulting from the performance, non-performance or improper performance of sE~rvice work by GE Water or its sub-contractors, excluding losses or injuries caused by the negligence of Client and providing' such claims are made in writing within 6 years from the date of performance of the service. GE Water's liability to Client and to its officers, employees and agents, for damages will not exceed the payment, if any, received by GE Water for the materials supplied or for up to a maximum of 1 year of services furnished or to be furnished under a service agreement which is the subject of claim or dispute. This liability will not in any event, exceed the limits established by law in the jurisdiction of the service site. In no event will GE Water be liable for incidental, indirE!Ct or consequential damages however caused, arising out of, or in any way connected with parts or services furnished by GE Water to Client 7.9 Dispute Resolution Binding arbitration will be the sole forum for commercial dispute resolution for all disputes arising in connection with provision of parts or services in this proposal. In the event of a commercial dispute arising between the Parties, the Parties agree that they will attempt in good faith to promptly resolve any controversy or claim arising out of or relating to purchase of parts or services under this proposal by negotiations between representatives of the Parties who have authority to settle the dispute. In the event that such negotiations do not result in a mutually acceptable resolution to the disputE! within 30 calendar days after the start of neqotiations, the Parties agree to i) resalve the dispute by arbitration under the! Rules of Conciliation and Arbitration of the International Chamber of Commerce in effect at the date that the arbitration is to be conducted; ond iil by on arbitrator to be chosen jointly by the Parties who is knowledgeable in the subject matter of this Agreement, and iiil the arbitration will be held in the English language. The award of the arbitrator will consider all elements of the dispute including costs of the arbitration itself and will be final and binding on the Parties. Each Party im!vocably consents to personal jurisdiction and to ex-parte action should any Party refuse to participate in such proceedings. The procedures specified in this section are the only procedures for the resolution of any commercial controversy or claim arising out of or related to this Agreement, or the breach, termination or validity thereof. However, before or during the time that the Parties follow these procedures, either one can go to the appropriate court to get a preliminary injunction or other preliminary judicial relief if such Porty reasonably believes thot such a step is necessary to ovoid irreparable damage or harm. Even if either Party takes such action, both Parties will continue to partiCipate in good faith in the procedures specified in this paragraph. 7.10 Confidentiality @ Use or disclosure of this proposal data is subject to restriction and is provided exclusively to the addressee for the purpose of evaluation. The filters are Zeeweed 500 C filters manufactured by Zenon. Since the City of Ashland operates under a NPDES permit issued by the Department of Environmental Quality, it is critical that we continually inspect and maintain the wastewater treatment plant. Zenon, provides a monitoring service called Zeno-track that helps the operators monitor and maintain the system. Operators will be able to use this information to assist them in diagnosing potential problems and resolve them before they become critical in nature. City staff routinely cleans these filters every five to six weeks during the summer months. Since we have been online now for five years, we feel that it is necessary to have Zenon perform a fiber cleaning study. This will tell us how efficient we are in cleaning these filters and make any recommendations on future cleaning practices. This is a very critical step in maintaining and extending the life expectancy of the filtration process.
