This agreement, together with the Terms and Conditions Sin the reverse, aDd any other schedules and exhibits incorporated

1. Chanae Orders. Unless otherwise provided herein, the Ad Creative will not change during the term of this
Agreement. In the event that Client has a special need to change the Ad Creative, Client shall contact a CAI client
service representative. There will be an additional production charge of up to $300.00 for this service.
2. DisDlav of Advertisements - Services: Subject to the Terms and Conditions contained herein, CAI will provide
Client with on-screen advertising space for display of the Ad Creative at the Theatre, consisting of /.s- second ad
spots ("Screen Ads"). The Screen Ads will be played before feature films at the Theatre (before feature films means
before movie previews and/or trailers) during the term of this Agreement. The Screen Ads will also be played before
approximately fl5 feature films at no additional charge to Client in contemplation of downtime caused by routine
maintenance, projector lamp replacement, Screen Ad upgrades, personnel training or other events beyond the
control of CAI. Screen Ads and Ad Creative shall collectively be referred to as "Services".
3. Term. The term of this Agreement shall commence upon the execution of this Agreement and shall continue for a
period of 0 1A1CM. ~ after the premiere of the Screen Ad at the Theatre ("Ad Flight"), provided that CAI
may automatically extend the term for such time as needed to run the contracted number of Screen Ads.
4. Fees and Payments Terms. Client agrees to pay CAI in full upon execution of this Agreement ("Service Fee").
Upon credit approval by CAI, Client may pay the Service Fee in installments. If the installment payment option is
selected, the billing cycle will commence at the start date of ad. If payments come into default CAI reserves the

Entire Aareement: This agreement constitutes the full
and entire understanding and agreement between CAI and
Client and supersedes any prior oral or written
agreements. CAI and Client acknowledge that there are
no oral understandings not contained in this Agreement
and further acknowledge the invalidity of any such oral or
prior agreements.

In the event that unauthorized oral representations are
made that are not included in this Agreement, it is
requested that the Agreement not be signed and that
Client contacts CAI at 541-488-1021 to report such
incident.

SERVICE CONTRACT FOR COMING ATTRACTIONS THEATRES
Attached is a RequisitionlPurchase Order and services contract for Coming Attractions Theatre,
Inc. for each of your signatures. The contract is for the production and display of an on-screen
education slide (attached) to be shown at both the Ashland Street Cinema and the Varsity
Theatre for the period of September 1, 2008 to June 1,2009.
In January, 2008 the Public Works Department (through the Traffic Safety Commission)
received a $5,000 grant from ACTS Oregon for a safe driving educational campaign
emphasizing the importance of driving in a healthy and attentive state, unencumbered by drugs
(be-they-alcnhoI-;nrarijuarra-;-'m-eu-rc-atrons-;'etc):-The-'program-se-eks-.to-re-a-ch-p1Jpulatrornrnot
usually targeted by such programs, but which are a significant part of the population in Ashland:
plder adults, retirees and tourists. The on-screen advertising is listed under the grants Statement
of Work.
Funds for the project are expended from Account Number 260.08.12.00.60825Q (Street
Department/Other Purchased Services/Bicycle/Pedestrian fund) and are reimbursed to that same
fund by ACTS Oregon.
The contract is for $1350 and is allowed under AMC 2.52.050A (contracts under $5,000). The
grant is limited to the City of Ashland. Coming Attractions owns and operates the only movie
theaters in Ashland, therefore Section 2.52.050C applies as a sole source. The contract is not
required to be reviewed by the Legal Department under Section 2.52.050E.
Please expedite this request as the media campaign is scheduled to begin September 1 8t.
