chorocteristics, chonges in Environmentol Heolth ond Sofety IEH&SI conditions, chonges in the
reissued Stote Disposol System Permit, changes in Customer financial standing, Customer
requirements, or any other relevant change or discrepancy in the factual bosis upon which this
proposal was creoted moy lead to changes in the offering, including but not limited to changes in
pricing, guarantees, quoted specifications, or terms ond conditions

1 Introduction
The City of Ashlond's Wostewater Treatment Plant is currently under a Service Agreement
with ZENON Environmentol Corporotion to receive ZenoTroc™ Worronty service until Octaber
31",2009 at which time it will expire.
To help your plant run at optimol performonce and achieve maximum efficiencies, we
recommend continuing with the ZenoTroc™service. The following proposol is for 0 one'year
extension of this service.
2 Names
ZENON Environmentol Corporotion, an affiliate of GE Water & Process Technologies Canada,
referred to here as GE Water will provide supporting services under this Agreement to the
City of Ashland for the Wostewoter Treatment Plant, referred to here as Ashland.

ZenoTrac™ provides automated data collection ond
web,accessible, grophical reporting of key process
infarmotion.
Full control and responsibility for process monitoring
and operating decisions remoins, at all times, with
the Plant Operotors. Responsibility for the use of
ZenoTrac™ chorts for compliance reporting rests
with the Plant Operators.
With the ''ZenoTrac™ Warranty" service level. the
client hos full web occess to the plont's ZenoTrac™
dato. Plant operating stoff can monitor ZenoTrac™
doto on the web without the assistance of the GE
Woter Process Anolyst.
Warranty Service provides 0 cost,saving alternative for 0 plant in later years when the
treatment process has stobilized into a predictoble pattern and experienced plant operotors
have achieved full mostery of the process ond familiarity with using ZenoTrac™ screens.

such topics os plant design or spore parts strategies. The Users Group has become an
excellent forum for experienced operators to renew old ocquaintonces. to exchonge the
"tricks of the trade", ond to impart their hord won knowledge to newer ZeeWeed'" operators,

. operator. Generaus hospitaiity combines with informal experiences and exercises to enhonce
the esprit de corps between plant operators.
All ZeeWeed'" plonts ore invited to send operators representing the plant to participate in the
Users Group. GE Water covers 011 conference, food, and hospitolity expenses. The plant must
cover the operator's travel and hotel expenses. GE Water supports this forum to facilitate
interaction between ZeeWeed'" Plant Operators and to provide 0 forum for real,world
feedback to GE Water's management, design and operations stoff.
The first ZeeWeed'" Users Graup was formed in the year 2000 bringing together drinking
water Plont Operators. The first ZeeWeed'" Users Group for wastewater Plant Operators wos
orgoni2ed in April 2005 at the American Conyon WwTP in California. Previous User Graup
meetings hove attracted ope rotors fram 011 over North Americo ond from os for awoy os New
Zeolond.
Regional Lifecycle Manager - GE Water Services
To ossure that GE Water clients are fully supported in the post,commissioning period, GE
Woter ossigns 0 Regional Ufecycle Monoger to each GE Water customer. This Regional
Ufecycle Monoger IRLMI will oct os the GE Water Services "quarterback", engaging in
frequent communication with plont stoff, assuring timely occess to 011 the technical
resources required from GE Water.
8 Duties
Ashland
o Where Ashland is responsible for ZenoTrac™ service delays of any kind there will be
no extension to the agreement, Ashland is responsible to re,establish service and
continue with the ogreement.
GE Water
o Where GE Water is responsible for ZenoTrac™ service deloys during the ogreement,
the duration of the ogreement shall be extended for the some period of the service
deloy.. .

Automatic Agreement Renewal
Upon the expiration of the Term, this Agreement will outomotically renew for successive one
yeor terms unless either Party provides the other porty with notice of non,renewol at least 90
days prior to the expiration of the Agreement hereunder, or unless eorlier terminoted in
accordance with this Agreement. All references in this Agreement to "Term of the
Agreement" shall be deemed to include both the Term, as well os any Renewal Terms
hereunder.
Agreement Termination
After this agreement is canfirmed by signature and/or a Ashland Purchase Order, the
agreement moy be terminoted prior to the end dote of the ogreement by Ashland with 30
days written notice fram Ashland, subject to the condition thot Ashland agrees to pramptly
pay all casts, direct and indirect, which have been incurred by GE Water in praviding the
agreed services up to the date of termination.

Short Form: Where a short reference is required in this document, far convenience, we are called simply GE
Water.
4 No Title
At no time will Seller be deemed to have taken title to Effluent Water, Influent Water, sewage sludge, Non-
standard Substances, Hazardous Materials, harvested fibers or any other materials or substances' processed at
the site or treated by Seller pursuant to this Agreement, Seller does not take responsibility far or provide woste
characterization, disposal facility selection, or disposal. Ashland is responsible for all wostes and waste
disposal from the plant. Wastes may include, liut are not limited to water system reject waste, used RO or
ultrafiltration membranes, cleon,in'ploce related wastes and wastewaters, spent media, used granuloted
activated carbon, cartridge filters, equipment and consumobles, lubrication/oil contaminated debris/rags, other
maintenance reloted wastes, lab analysis residuals, and office waste. .

Findings for Sole-Source Procurement- Zcnon Service Agreement
In May of2002 the City of Ashland completed their installation of the membrane
filtration process at the wastewater treatment plant. GE Water & Process Technologies
is the parent company of Zenon which produced the membranes. Since the City of
Ashland operates under a NPDES permit issued by the Department of Environmental
Quality, it is critical that we continually monitor the membrane system. This is a very
important part of the wastewater process that removes phosphorus. GE water offers a
service contract that allows their trained staff to monitor the City of Ashland's
membrane operation from their headquarters. Since this is such important process this
extra monitoring and feedback along with the wastewater staffs input and operation of
the plant allows the membranes to operate to their maximum efficiency. The Zenon
membranes are a propriety product and this service agreement can only be purchased
through them. It is recommended that the City of Ashland purchase the one year
monitoring agreement for the sum of $5,536.00.
OAR 137-047-0275 Sole-source Procurements
(I) Generally. A Contracting Agency may Award a Contract without competition as a
sole-Source Procurement pursuant to the requirements ofORS 279B.075.
(2) Public Notice. If, but for the Contracting Agency's determination that it may enter
into a Contract as a sole-source, a Contracting Agency would be required to select a
Contractor using source selection methods set forth in either ORS 279B.055 or
279B.060, a Contracting Agency shall give public notice of the Contract Review
Authority's determination that the Goods or Services or class of Goods or Services are
available from only one source. The Contracting Agency shall publish such notice in a
manner similar to public notice of competitive sealed Bids under ORS 279B,055 (4) and
OAR 137-047,0300. The public notice shall describe the Goods or Services to be
acquired by a sole-source Procurement, identify the prospective Contractor and include
