Amount of grant: $1,820 ¶2. Budget subcommittee: Economic Development Contract made the date specified above between the City of Ashland and Grantee named above. RECITAL: City has reviewed Grantee's application for a grant and has determined that the request merits funding and the purpose for which the grant is awarded serves a public purpose. City and Grantee agree: 1. Amount of Grant. Subject to the terms and conditions of this contract and in reliance upon Grantee's approved application, the City agrees to provide funds in the amount specified above. 2. Use of Grant Funds. The use of grant funds are expressly limited to the activities in the grant application with modifications, if any, made by the budget subcommittee designated above. 3. Unexpended Funds. Any grant funds held by the Grantee remaining after the purpose for which the grant is awarded or this contract is terminated shall be returned to the City within 30 days of completion or termination. 4. Financial Records and Inspection. Grantee shall maintain a complete set of books and records relating to the purpose for which the grant was awarded in accordance with generally accepted accounting principles. Grantee gives the City and any authorized representative of the City access to and the right to examine all books, records, papers or documents relating to the use of grant funds. 5. Default. If Grantee fails to perform or observe any of the covenants or agreements contained in this contract or fails to expend the grant funds or enter into binding legal agreements to expend the grant funds within twelve months of the date of this contract, the City, by written notice of default to the Grantee, may terminate the whole or any part of this contract and may pursue any remedies available at law or in equity. K) Such remedies may include, but are not limited to, termination of the contract, stop payment on or return of the grant funds, payment of interest earned on grant funds or declaration of ineligibility for the receipt of future grant awards. 6. Amendments. The terms of this contract will not be waived, altered, modified, supplemented, or amended in any manner except by written instrument signed by the parties. Such written modification will be made a part of this contract and subject to all other contract provisions. 7. Indemnity. Grantee agrees to defend, indemnify and save City, its officers, employees and agents harmless from any and all losses, claims, actions, costs, expenses, judgments, subrogations, or other damages resulting from injury to any person (including injury resulting in death,) or damage (including loss or destruction) to property, of whatsoever nature arising out of or incident to the performance of this agreement by Grantee (including but not limited to, Grantee's employees, agents, and others designated by Grantee to perform work or services attendant to this agreement). Grantee shall not be held responsible for damages caused by the negligence of City. 8. Insurance. Grantee shall, at its own expense, at all times for twelve months from the date of this agreement, maintain in force a comprehensive general liability policy including coverage for contractual liability for obligations assumed under this Contract, blanket contractual liability, products and completed operations, and owner's and contractor's protective insurance. The liability under each policy shall be a minimum of $500,000 per occurrence (combined single limit for bodily injury and property damage claims) or $500,000 per occurrence for bodily injury and $100,000 per occurrence for property damage. Liability coverage shall be provided on an "occurrence" not "claims" basis. The City of Ashland, its officers, employees and agents shall be named as additional insureds. Certificates of insurance acceptable to the City shall be filed with City's Risk Manager prior to the expenditure of any grant funds. 9. Merger. This contract constitutes the entire agreement between the parties. There are no understandings, agreements or representations, oral or written, not specified in this contract regarding this contract. Grantee, by the signature below of its authorized representative, acknowledges that it has read this contract, understands it, and agrees to be bound by its terms and conditions. Recitals: A. On July 1, 1995, City and Grantee entered into a "City of Ashland Financial Assistance Award Contract" (further referred to in this addendum as "the agreement"). B. The parties desire to amend the agreement to authorize a different use for the grant funds. City and Grantee agree to amend the agreement in the following manner: 1. Paragraph 2 of the agreement is amended to read: "The use of the grant funds are expressly limited to the activities described on the attached Exhibit 1. 2. The Arts Directory is similar to a publication funded by the City of Ashland in the past. The 1996 Arts Directory will be a concise and comprehensive list of visual, literary, media, folk, and performing artists - individuals, bands and troupes (including a short description of their work, if they teach their art form, if they accept commissions and so forth), artist cooperatives and support groups (including contact, meeting schedule, general philosophy) and arts businesses and non-profits (including organization objectives and activities), and, new this year, a section on cultural facilities (including performing, exhibit, studio and rehearsal spaces and facilities) in Jackson and Josephine counties. Full descriptions will be listed in alphabetical order. An index section will include listings by specific discipline (e.g. visual arts - sculpture), classes/lessons for children, and classes/lessons for adults. Cultural organizations and facilities will be listed alphabetically with cross references by location and use. We anticipate over 200 listings. The Arts Directory will be published (1,000 copies minimum) and distributed to libraries, chambers of commerce, beds & breakfasts, hotels and other tourism related and interested businesses and to interested artists, individuals, arts groups and community sponsors throughout the region and available to people making inquiries regarding the region. The Arts Council grant of $1,820 is included in this budget. Two payments of $910 each are scheduled for July 26, 1996 and January 24, 1997. The City requests that your agency provide insurance certification indicating liability coverage of not less than $500,000 per occurrence. The City of Ashland, its officers and employees should be named as additional insureds. If you already have a certificate on file with the City, please remember to send us an updated certificate upon renewal. The certificate on file expired Jan. 28, 1996. Please sign the enclosed contract and return it to the City as soon as possible. Once the contract and a current certificate of insurance are on file the payment schedule can be implemented. A graduate of the University of California, Olsen comes to the Arts Council after 30 years in the non-profit sector, including 8 years on the staff of the Oregon Shakespeare Festival. She has served on many Boards of Directors, including Chamber Music Concerts and the Youth Symphony of Southern Oregon. In addition, she has served as a volunteer leader with the United Way of Jackson County for seven years, filling various key positions including Jackson County Campaign Chair in 1993, Chair of the Development Committee in 1994, and currently as President of the Board of Directors. Olsen is particularly excited at the possibility of utilizing the arts to deal with human service problems, and applauds the arts for playing a vital role in the economy of the region. She looks forward to keeping artists and arts organizations involved in planning for future growth in Southern Oregon, and sees the Arts Council of Southern Oregon as a vehicle for expressing the unique needs and voices of the arts to the community as a whole. In addition, she sees the Arts Council as "providing a forum for artists and arts organizations to assist one another as they grapple with a complex economic climate." Olsen steps into the position vacated by Brooke Friendly, who served the Arts Council of Southern Oregon for ten years, seven as Executive Director. Board President Kathy Carter states, "Change can be a positive thing. Filling the Executive Director position has given board members a chance to take a new look at the areas the Arts Council does well in, and the ones we need to explore a little further. We are grateful to Brooke for her years of service to the arts, and welcome Kathie's leadership for the future." Now in its 20th year, the Arts Council is a non-profit arts agency supporting artists and arts groups through technical assistance, information services and promoting arts education and cultural diversity through school and community programs. Your grant of $1,000 is included in this budget. You are scheduled to receive payment on July 28, 1995. The city requires grant recipients to supply a certificate of insurance that names the City of Ashland, its officers and employees as additional insureds.
